금융기관 경영지배구조의 현안과 법제도적 개선 과제

다국어 초록 (Multilingual Abstract)

The corporate governance of financial institutions is one of the important issues in terms of financial regulation. In principle, a priority should be given to autonomy in the matter of corporate governance, but when it does not work, law and regulation need to be intervened. Recently, three major issues in relation to corporate governance of financial institutions have been raised; and so this article is intented to analyze those issues and further other related ones, and to suggest solutions. First, a criticism against reelection of the current chief executive officer (CEO) of a few bank holding companies have been raised because it was believed that the current CEO might have given an influence on the reelection process. This article points out the problem that outside directors who consist of a majority of the CEO candidate recommendation committee are influenced directly or indirectly by the current CEO, and so proposes that a third independent institution should be set up to administer a pool of outside director candidates and recommend qualified candidates to a concerned financial institution. Second, this article suggests that an employee representative director scheme need to be introduced because he or she may have a role of monitoring the management, which may contribute to growth of a concerned financial institution. Third, this article argues that basic principles in a stewardship code need to be reflected in the Capital Market and Financial Service Business Act in relation to fiduciary duty of financial institutions as an asset manager because it may relieve the concerned financial institutions of liability when it is found that it complies with a stewardship code. In addition, this article proposes that an experience for five or more years at a financial institution need to be required as one of the qualifications for a CEO in order to enhance specialization of a CEO.
