기업지배구조가 잠재적 소송위험에 미치는 영향 = The Effect of Corporate Governance Quality on Potential Lawsuit Risk

According to recent research, the level of corporate governance quality has been reported to be relatively very weak. But potential litigations risk against the domestic firms that caused from the deterioration of corporate governance under the introduction of Securities Class Action and the uneven balance of Korean financial market is increasing. As a result, companies are taking advantage of directors' and officers' liability insurance against potential litigations risk. This study investigates the effects of corporate governance quality focuses on ownership and board of directors' characteristics on directors' and officers' insurance premiums. According to prior studies, judgments of outside experts such as insurance companies who hold a dominant position in risk assessment are being used as measurements of potential litigations risk. Also, this paper empirically analyzes the effect of macro-economic environment on potential litigations risk.
Empirical findings are summarized as follows. First, There is significant negative association between corporate governance quality and directors' and officers' insurance premiums used as measurements of potential litigations risk. This result show that improvement of corporate governance can effectively reduce the potential litigations risk. But there is no significant association between macro-economic indicators and directors' and officers' insurance premiums used as measurements of potential litigations risk.

국문 초록 (Abstract)

최근 연구들에 따르면 우리나라 기업들의 지배구조수준은 상대적으로 매우 취약한 것으로 보고되고 있다. 그러나 최근에 기업의 지배구조와 관련된 책임을 요구하는 각종 제도들의 도입과 금융시장 혼란 및 주가변동성의 확대에 따른 공시위반사례의 증가 등 기업들이 직면하는 소송위험은 날로 증가하고 있는 상황이다. 이처럼 기업들이 직면하는 잠재적인 소송위험이 증가함에 따라 기업들은 각종 소송에 대한 이사들의 배상책임을 담보하기 위한 방법으로 임원배상책임보험의 가입을 활용하고 있다.
이에 본 연구에서는 기업지배구조수준이 기업들의 잠재적 소송위험으로 대표되는 임원배상책임보험료와의 관계에 대해 분석하였다. 또한 거시적 경제상황이 기업들의 잠재적 소송위험에는 어떠한 영향을 미칠 수 있는지를 추가적으로 분석하였다. 구체적으로 12월 결산기업 중 금융업종에 속하지 않은 한국증권거래소 상장기업으로 재무자료와 임원배상책임보험료 자료를 입수할 수 있는 총 729개 표본을 대상으로 분석하였다. 분석결과에 따르면 예측대로 기업지배구조수준은 잠재적 소송위험과 유의한 음의 관계가 관찰되었다. 이는 지배구조수준이 우수한 기업일수록 기업들이 직면하는 잠재적 소송위험이 낮아질 수 있음을 의미한다. 한편 거시적 경제상황은 기업지배구조수준만큼 잠재적 소송위험에 유의한 영향을 미치지는 않는 것으로 나타났다.
