방송통신에 대한 통합적 규제체제하에서의 기업인수합병에 관한 경쟁정책의 재검토 - 관련시장에 국한하여 = A New Approach to Relevant Market under the Prospective Broadcasting-Telecommunications Business Development Law

국문 초록 (Abstract)

기업결합에 대한 경쟁법적 심사는 관련시장의 획정에서부터 출발한다. 그러나, 관련시장의 획정을 위한 SSNIP개념에 기초한 임계매출감소율분석이나 이의 변형방법이 분석도구로서 완전하지는 않다. 특히 새로운 상품 내지 시장이 개발되는 과정에 있는 경우 이러한 분석방법은 유효하지 않다. 공정위의 관련시장에 관한 의결도 임계매출감소율분석보다는 정성적 분석에 의존한 것들이 다수이다. 이제 방송과 통신의 융합현상에 걸맞는 일원적 규제체제를 확립하기 위하여 방송통신발전사업법이 시행될 예정이다. 이 법에 따르면 동일한 역무에 동일한 규제체제가 적용되며 역무는 광범위하게 전송망, 플랫폼, 콘텐츠로 또는 전송망과 콘텐츠로 구분된다. 통신과 방송의 융합현상에 따른 기업의 인수합병을 촉진하고 공정위의 재량적판단에 따른 사전적 불확실성을 줄이며 방송통신관련 기술의 개발을 촉진하기 위하여 사업법하의 사업분류에 따라서 경쟁법적 관련시장을 획정하는 것은 정책적으로 고려하여 볼 만한 선택이다.

다국어 초록 (Multilingual Abstract)

Mergers and acquisitions are subject to the competition law review based on the concept of “relevant market.” The relevant market is where a hypothetical monopolist can exercise despite SSNIP. To find the relevant market, critical loss analysis or its variations has been adopted by regulatory agencies. However, they have many drawbacks especially where new products or markets are being formulated. Thus, regulatory agencies still tend to rely on qualitative analysis in most cases. Korea is now about to legislate the Broadcasting and Telecommunications Development Business Law to address legal hodgepodges due to their convergence. Broadcasting and Telecommunications Development Business Law will offer the same regulatory framework to the same services, regardless of whether they fall within the meaning of broadcasting or telecommunications under the bifurcated regulatory framework. Under the Broadcasting and Telecommunications Development Business Law, services probably would be classified into three categories (network, contents, and platform), or even two (network and contents). A broader market approach would promote mergers and acquisitions, eradicate regulatory uncertainties, and foster technological advances. To achieve these goals, relevant markets are to be decimated as network, contents, and platform or even as network and contents.
