기업의 사회적 책임(CSR)에 대한 배경과 회사법적 구현

다국어 초록 (Multilingual Abstract)

Today, there is a force where the enterprise is strong in the society. It forms the capital which is enormous. And it have an effect on the economic growth, employment, consumer and environment problem. By the way, the enterprise does spoiling an injustice. The act which the enterprise goes wrong brings a social disbelief and a disruption.
Last year, officers employed on the Samsung Group and the Hyundai Motor Group were tried in the court. Because they succeed the stock illegally and it is in order to form a slush fund. At that time, the entire country was noisy. But it is silent now. In the cases of the United States of America, the accounting bribery of the Enron company occurred. It established the Sabanes-Oxley Act because of this. It was the Corporate Social Responsibility concretely legislation.
The advanced nations actively, it advanced a discussion in about CSR and it came. Our country was started discussion but recently. And the opinion which it opposes is strong. But in the Korea, the enterprise is confronting in the request which it says that must charge a social responsibility. From the law field which is various the discussion is become accomplished in about CSR.
From the law field such as a Labor, fair trade, consumer, capital market, environmental etc., various the discussion on CSR is started. The social responsibility of the enterprise is new tendency, corporate law field as well there is not a possibility becoming the exception. The corporate law must prepare the legal system with a precedence in about CSR.
With the plan it will be able to come true CSR, it asserts the legislation of CSR general provisions. And the law that it will be able to prepare sees in about act of a contribution. It refers to the relative provisions of the American Corporate Law. And the fact which relates in the structure of the corporate governance in the enterprise which relates with CSR is very important. The review is requested in about the legal system which is general, in about enterprise concept and interested party and watch and public notification.
