    본 논문은 투자자가 이사를 지명하여 경영에 관여하는 구조에서 발생하는 지명이사의 법적 지위와 책임 구조를 재검토하고, 지명주주와 투자대상회사 사이의 이해상충을 절차 설계와 계약적 위험배분을 통해 관리하는 규범적 모델을 제시한다. 지명이사는 투자자의 이해관계를 배경으로 선임되면서도 회사의 이사로서 회사 및 전체 주주에 대한 신인의무를 부담하는 구조적 이중성을 가진다. 이러한 이중성은 업무지원 범위, 비밀정보 공유, 특별이해관계 판단, 의결 참여 제한, 책임 귀속 등 다양한 쟁점을 발생시키며, 전통적인 사후 책임 중심 규율만으로는 반복적 이해상충 상황을 효과적으로 통제하기 어렵다.
    본 논문은 먼저 지명이사의 실무상 역할과 법적 지위를 기능적으로 분석하고, 신인의무와 비밀유지의무의 적용 범위를 재정립한다. 이어서 특별이해관계 판단 기준과 이사의 회피·기권·배제 구조의 합리적 운용 가능성을 검토한 후, 지명주주와 회사 사이에서 전형적으로 발생하는 이해상충 유형을 체계화한다. 나아가 정보공개와 독립적 승인 절차를 중심으로 한 절차적 안전항 모델이 책임 위험을 조정하는 규범적 정당성을 가질 수 있음을 논증하고, 동시에 계약으로 조정할 수 없는, 이사의 신인의무의 양보 불가한 핵심 영역과 소수파주주 보호의 한계를 명확히 한다.

    This article reexamines the legal status and liability structure of designated directors in investment-driven corporate governance and proposes a normative framework for managing conflicts of interest between nominating shareholders(designating shareholders) and portfolio companies through procedural design and contractual risk allocation. A designated director embodies a structural duality: while appointed by an investor to advance investment objectives, the director simultaneously owes fiduciary duties to the corporation and its shareholders as a whole. This duality generates recurring legal tensions concerning the scope of operational involvement, information sharing, identification of conflicted interests, voting restrictions, and attribution of liability—tensions that cannot be adequately addressed by a purely ex post, liability-centered regulatory model.
    The article first analyzes the functional role of designated directors and clarifies the scope of fiduciary and confidentiality obligations. It then refines the criteria for identifying conflicted interests and the appropriate use of recusal mechanisms, and categorizes typical patterns of conflict between nominating shareholders and portfolio companies. Building on this foundation, the article argues that a procedurally grounded safe harbor—centered on meaningful disclosure and independent approval—can normatively justify calibrated relaxation of fiduciary liability, while preserving a non-waivable core of fiduciary duties and maintaining effective protection for minority shareholders.
    By reconceptualizing designated-director governance around procedural legitimacy rather than solely ex post judicial review, this article offers a coherent framework for aligning investment efficiency with the normative integrity of corporate fiduciary law, and provides practical guidance for future legislative development and transactional design.
