Sixty-five years have passed since the current Civil Code came into force on January 1, 1960. In that time, Korean society has undergone changes so profound that they are hardly comparable to the circumstances at the time of the Code’s enactment. Today, beyond the government (the first sector) and business enterprises (the second sector), the so-called third sector—centered on non-governmental organizations (NGOs) and non-profit organizations (NPOs)—has expanded steadily, and the status and role of non-profit corporations and associations have become increasingly significant. However, our legal system remains disconnected from this global phenomenon. These issues have been repeatedly raised in the academic literature for more than two decades. In response, the Ministry of Justice has made several attempts to reform the Legal Entities Part of the Civil Code. Thus far, reform discussions have concentrated primarily on transitioning the incorporation regime governing legal entities, clarifying the timing of vesting of assets contributed to establish a foundation, and providing clearer rules on the merger and division (spin-off) of legal entities.
This Article suggests that, should the revision of the Legal Entities Part of the Civil Code proceed, the scope of reform should extend beyond the proposals contained in previous amendment drafts so as to address newly emerging issues concerning legal entities. In this respect, it examines additional matters that merit consideration in a comprehensive restructuring of the Legal Entities Part. The main points are as follows: First, this Article proposes the introduction of provisions governing remote governance mechanisms, including online general meetings, the exercise of voting rights by electronic means, and the use of electronic signatures for minutes.
Second, it recommends the establishment of procedural frameworks for dispute resolution, including actions to invalidate or rescind incorporation, litigation concerning resolutions of the general meeting, actions for judicial dissolution of a legal entity, suits for the removal of officers, and provisions deeming dormant entities dissolved.
Third, it proposes improvements to the institutional structure of legal entities, including the introduction of boards of directors, the establishment of representative or delegate bodies, and the mandatory adoption of audit or supervisory organs.
Fourth, it recommends the revision and refinement of penalty provisions applicable to legal entities.
