    본 학위논문은 국내 비상장기업을 대상으로 비상장기업의 투자, 자금조달, 비용관리행태를 분석하는 3편의 소논문으로 구성되어 있다. 비상장기업의 기업정책분석은 다음의 이유들로 인해 그 중요성을 갖는다. 첫째, 개별 비상장기업의 기업규모는 미미하지만, 대부분의 기업들이 비상장인 상태에서 기업활동을 영위하는 바, 경제 전체에서 비상장기업이 차지하는 총규모는 상장기업과 비견할 만 하다고 할 수 있다. 둘째, 비상장기업과 상장기업은 기업규모, 소유구조, 자본시장에의 접근성, 자본시장의 견제 등에 있어 차이를 갖는데, 이러한 차이는 기업 의사결정에도 상당한 영향을 미칠 수 있다. 마지막으로, 비상장기업을 대상으로 한 연구를 통해 그 동안 상장기업을 대상으로 진행되어 온 연구 결과들을 교차검증을 하는 효과를 기대할 수 있다 (Gao, Harford, and Li, 2013). 비상장기업에 대한 연구가 갖는 상기의 중요성에도 불구하고 그 동안 해당 연구분야는 비상장 자료의 접근가능성을 주된 이유로 외면되어 온 것이 사실이다.

    마지막 소논문은 상장기업과 비상장기업의 비용관리행태를 판매비와관리비를 중심으로 비교하고 그 결과를 제시한다. 분석 결과 상장기업은 비상장기업보다 더 높은 수준의 판매비와관리비를 지출하면서도 더 낮은 매출액을 달성하는 것으로 확인되었다. 또한 원가의 비대칭성 (cost asymmetry) – 매출 감소에 따른 비용감소의 크기가 매출증가에 대응하는 비용증가의 크기보다 더 작은 현상 – 은 상장기업에서 더욱 뚜렷이 관찰되는데 금융위기 기간 동안에는 상장기업 원가의 비대칭성이 사라지는 반면 비상장기업의 원가가 비대칭성을 갖는 것으로 확인되었다. 이러한 결과는 대체로 대리인비용의 설명과 일치하는 결과라고 할 수 있다.

    This dissertation consists of three essays on corporate decisions of privately-held companies. Specifically, it focuses on investment, financing, and cost behavior. Investigating corporate behavior of private firms is considerably significant for the following reasons. First, even though private firms are much smaller than public companies, due to the large number in the economy, private firms are comparable to public firms as a whole. Second, intrinsic differences between public firms and private firms - such as firm size, ownership structure, accessibility to capital market, capital market pressure – highly predict the distinctive corporate policies of private firms from their public counterparts. Lastly, as Gao, Harford and Li (2013) point out, comparing corporate behavior of private and public firms serves as cross-validation of the previous studies on corporate policies using only public firms.
    Recent empirical studies indicate that corporate behaviors of publicly-traded companies and privately-held companies differ and corporate decisions of private firms can be affected by their public peers. They document that, compared to private firms, public firms tend to reserve more cash-holdings (Gao et al., 2013), inefficiently underinvest (Asker, Farre-Mensa, and Ljungqvist, 2014), or have higher propensity to smooth dividends (Michaely and Roberts, 2012). These findings end up with a common conclusion that corporate decisions of privately-held companies are more efficient than those of publicly-traded companies.
    The following three chapters are coherent with those studies. In the first chapter, the study examines the link between correlated corporate investment of private firms and public firm presence. It offers industry –level evidence that the coinvestment among private firms rises as the proportion of public firms in the industry increases. Further investigations on the possible drivers of such relation reveal that it can be explained by correlated fundamentals between a given private firm and the corresponding public peers, rational learning from stock prices, and information acquisition costs. It appears that private firms rationally coinvest when public firms exist in the same industry.
    The second chapter analyzes the relation between stock prices of public firms and corporate decisions of privately-held companies. It identifies that the investment decisions of private firms are associated with public peer q-ratio. Such a positive relationship is more pronounced when private firms and their public peers are fundamentally correlated. It also depends on the information quality of public information as well as own information, which is consistent with social learning hypothesis. Furthermore, the ability of private firms to raise additional debt or equity capital is related to the average q-ratio of their industry peers.
    The last chapter provides new empirical evidence on how public firms and private firms differ in their management of corporate resources. It finds that public firms expend more resources as SG&A spending than private firms do. Moreover, the asymmetric cost behavior - a tendency that SG&A spending decreases less when sales decreases than it increases when sales increases - is more prominent for public firms than private firms, whereas the opposite pattern is found during the financial crisis. It appears that self-interested managers in public firms indulge in spending corporate resources, although a crisis may attenuate this problem. The evidence is consistent with the idea that agency conflicts are more prevalent among public firms than among private firms, which results in asymmetric cost behavior. However, this study does not necessarily exclude other possible explanations.
    Results from those three essays are consistent with the general conclusion from the previous studies in that corporate decisions of private firms are more efficient than those of public firms. Moreover, the positive relation between private firms’ investment decisions as well as financing decisions can be explained in rational settings. The evidence of efficient resource management of private firms also supports the argument.
