다국적기업 자회사 진화의 최종 단계로서 분리·독립에 관한 탐색적 연구: 자회사 MBO 사례를 중심으로 = Exploratory study on Subsidiary Separation and Independence as the Final Stage of Subsidiary Role Evolution: Cases from Subsidiary MBO

Subsidiary role evolution has been considered important as the core competence of MNC in the field of international business. Many existing studies recognize that subsidiary role evolution happens in the boundary of MNC. However, this study suggests that the final stage of subsidiary role evolution is likely to be over the boundary of MNC. Some subsidiaries voluntarily abandon the position of MNC’s subsidiary by subsidiary MBO and start new corporation for their own vision and market opportunities. We call this phenomenon, ‘subsidiary separation and independence’ in this study. Our exploratory case study is structured as follows. First, we carefully consider subsidiary separation and independence in the context of subsidiary evolution. Second, we analyze two subsidiary MBO cases to find some factors that have an influence on subsidiary separation and independent. Finally, we suggest some propositions for future empirical researches.

국문 초록 (Abstract)

자회사 역할 진화는 다국적기업의 역량 확보라는 면에서 국제경영분야에서 상당히 중요하게 다뤄지고 있는 분야이다. 그러나 자회사 진화에 관한 연구는 다국적기업의 경계 내에서만 이뤄져 왔다. 본 연구는 자회사의 진화 과정 중 최종단계에서 전개될 수 있는 다른 현상에 초점을 맞추고자 한다. 바로 ‘자회사가 능동적으로 다국적기업의 네트워크를 벗어나 스스로 지분을 인수하여 신생 기업으로 새롭게 출발하는 경우’이다. 이에 본 연구는 자회사 분리․독립을 자회사 진화 연구의 맥락에서 고찰하고, 자회사 MBO 사례를 통해 자회사 분리․독립에 영향을 미칠 수 있는 요인들에 대해 연구를 진행하였으며, 향후 통계적 실증 연구에 기초가 될 수 있는 명제들을 제시하였다.
사례분석 결과, 자회사 분리․독립은 외적 요인으로서 모기업의 상황 이외에도 자회사 내적 요인으로서 자회사 CEO의 기업가 정신, 자회사 조직의 역량 구축, 관계적 요인으로서 모기업과 자회사 간 신뢰 관계 구축 등에 의해 영향을 받게 되는 것으로 나타났다.
