It has been generally accepted that knowledge is the only meaningful resource today. This paper attempts to examine present conditions of knowledge-based informatization in Korea, difficulties and barriers in that process. It also aims to find out prerequisites and solutions for a successful knowledge company. The result shows that a large majority of companies in Korea has, despite of high degree of IT-infra, serious problems and difficulties from the view of point of creating, sharing and utilization of relevant knowledges. In summary of the discussion, it could draw the following conclusion. To be a successful knowledge company, it is absolutely requested to design and build up organizational structure and culture that promotes knowledge-creating, -sharing and -utilization. That is, it should be a 'learning company' that facilitates learning of all its members and transforms itself continually.
