      • 지식기반 경제와 기업지배구조에 관한 연구

        This study suggests a new corporate governance mechanism in a knowledge-based economy of Korea. A review of literature shows that the corporate governance for the maximization of shareholder wealth in firms that grow mostly from firm specific investments of employees can not maximize the wealth of shareholders. This study argues that a new corporate governance that gives employees incentives for firm specific investments can enhance the value of the firm in a knowledge based economy. Given that a knowledge based economic system is required for a further growth of Korean economy, the corporate governance of Korea should also adjust to a new economic situation.

      • 지배구조 개혁의 평가모형과 성과분석

        According to the analysis of CLSA(Credit Lyonnais Securities Asia) and CGS(Corporate Governance Service), governance practices of Korean firms show a gradual improvement every year. Despite of distinct improvement at the firm level, however, there is no signs of amelioration at the country level during the period when legal aspects related with governance reform involve. Especially reform measures are not so enforceable. Between corporate governance index calculated by summing up the point of each governance practice and management performance, statistically significant relationship has been found. From the questionaire survey, we observed some extent of improvement in governance practice. But, at the same time, passive attitude was prevalent toward the implementation of compulsory governance requirements. The fact that governance practice shows some improvements despite of passive mind means that an early stage approach of compulsory reform was effective. Although an improvement in practice was made by the institutional change, it did not lead to an improvement in performance. And the dominant opinion in a survey was that each firm should promote reform measures voluntarily rather than compulsorily in order to further improve corporate governance.

      • 세법상의 준비금 설정이 기업회계에 미치는 영향에 관한 연구

        In this study we can see the following results. (1) The effect of reserve for tax reduction on financial accounting is more important for middle size corporations than large or small size corporations, because the middle size corporations use the reserve more frequently than small size corporations and have more important effect of tax reduction on financial accounting by same amount of reserve than large corporations. (2) The effect of reserve for tax reduction on financial accounting is more important for the corporations which have smaller amount of Before Tax Income, Tax Expenses and Net Income than the corporations which have larger amount of them, because the smaller corporations have more important effect of tax reduction on financial accounting by same amount of reserve.

      • 기업위험관리에 관한 이론적 고찰

        For the past 30 some years since the fixed exchange rate system has been collapsed in 1971, we have witnessed very large fluctuations in interest rates, exchange rates, and various commodity prices. We call this 'financial risk' that firms face in the market. We must actively manage these financial risks to achieve a firm's profit target as well as for its survival because the changes in the levels of these financial variables affect funding costs, production costs, and sales of a firm, which is the core of a corporate risk management. In particular, there has been a tremendous development in financial derivatives for the past twenty years, including forwards, futures, options, and swaps as well as various techniques in financial risk management. This note reviews, thus, the nature and measurements of financial risks that a firm faces in a business environment and techniques in a corporate risk management.

        Korea's housing for the low income families has deteriorated since IMF. Housing policy focused on the alleviation of housing problem for the low income families. There are two types of housing-assistance programs. The first types operates on the supply side of the housing market: the government either builds public rental housing for the low income families or subsidizes private developers to build and manage low-income housing. The second type of assistance policy operates on the demand side of the market such as chonsei subsidy. The purpose of this study is to analyze the effect of the supply-side policy, building public rental housing, on the housing problem for the low income families.

        Tourism is a vast and complicated industry. The community and regional level of tourism policy and planning can adapt mostly the same approach, process, and techniques applied at the national levels. Basically, the comprehensive, integrated, environmental, sustainable development and community involvement approach may be applied the same at the community and regional levels of tourism as it is at the national level. But the community and regional levels of tourism planning must be approached to more specific level. Each community and region must be planned according to its particular characteristic and development objectives and policies. Regional tourism development should aim at providing a framework for raising the living standard of the residents through the economic benefits of tourism. The tourism development program must be consistent with the cultural, social, and economic philosophy of the local government and the people of the host community or regions. Further tourism development must by systematically planned on the basis of market research and feasibility studies. The scope of the local government program will vary accoriding to the situation and requirements of the region concerned.

        Software architecture has been praised as an important tool for designing and managing a software project. Even with this importance, software architecture has not been used much in real practice. This lack of practice may be due to the difficulties of deriving and defining quality attributes. Software architecture has its value in using quality attributes in selecting and designing software in development life cycle. To overcome this difficulties, QAW(quality attribute workshop) is introduced and explained. QAW is created by CMU which is highly recognized its advanced research and practice in software engineering, and applied in many project successfully.

      • 회사채 지배구조에 관한 연구

        This study introduces a new governance structure for publicly issued corporate bonds in Korea. Ownership of public bonds is both fluid and dispersed. These generate benefits. But fluidity generates a bonding problem and dispersion generates a collection action problem. The new governance "Supertrustee" is designed to overcome the collective action and bonding problems while retaining the easy diversifiability and liquidity associate with public bonds. The supertrustee will be given the authority and the incentives to monitor the company actively, as well as to enforce and, where appropriate, to renegotiate a bond's covernants on behalf of public bondholders. Because the supertrustee is a single entity and the company will have some power over who is appointed as supertrustee, this structure resolves the collective action and bonding problems presently associated with dispersed and fluid ownership of public debt.

        This paper studies a desirable direction of universal banking in Korea.. The analysis of this paper suggests that universal banking should be expanded through holding companies that control a variety of financial institutions including banks, security firms and insurance firms. The difficulty of financing by small firms in Korea can be alleviated by universal banking through holding companies. Also the conflict of interest problem can be solved.
