고정사업장에 대한 이윤의 귀속 방법에 관한 고찰 – 공식적 OECD 접근방법(AOA)의 적용을 중심으로 –

고정사업장(PE)에 대한 이윤의 귀속과 관련하여 OECD는 이중과세 최소화 및 집행의 일관성 확보를 위해서 2008년 PE 보고서를 채택한 이후, 1단계로 2008년 OECD모델 제7조 주석을 개정하였고 2단계로 2010년 제7조 조문을 개정하는 등 단계적으로 ‘공식적 OECD 접근방법(AOA)’을 채택하였다. 우리나라는 OECD 모델조세협약 제7조 조문 및 주석의 개정 내용에 대해서 유보 또는 이견을 제출하지 않았기 때문에, 기본적으로 회원국들 간 콘센서스에 의해 채택된 AOA를 수용한 것으로 볼 수 있다. 그러나 정부의 후속적인 대응 과정을 살펴보면 국제적으로는 권한있는 당국 간 상호합의 등을 통해 체약국과 AOA 적용방법을 구체화하는 노력을 기울이지 않았고, 국내적으로도 이를 법령에 상세히 반영하지 못함으로써 AOA의 실제 집행 현장에서 잦은 오해와 혼란이 발생한 것으로 평가된다. AOA는 정상가격 결정 목적상 PE에서 기능을 수행하는 종업원들의 물리적 실재(physical presence), 즉 중요한 인적 기능에 초점을 두고, 자산과 위험은 종업원들이 수행하는 기능들에 수반되어 평가된다. 이러한 맥락에서, AOA에서는 5가지 비교가능성 요소 중에서 기능분석 및 계약조건은 직접 적용하지 못하고 유추하여(by analogy) 적용해야 한다. 결국, AOA의 채택은 원천지국의 과세권 확대라는 의의를 갖는다. 왜냐하면, PE에서 물리적으로 수행되는 중요한 인적 기능들(SPFs)에 따라서 원천지국에 이윤이 추가로 배분될 가능성을 인정하기 때문이다. 이 글에서는 다음과 같은 정책적 시사점을 제시한다. 첫째, AOA는 조세조약 해석상 기업의 내부거래에 대한 기능분석 및 인식에 독립기업원칙이 적용된다는 점과 그 적용방법을 국제기준으로서 채택했다는 의미를 가질 뿐이므로, 실제 적용 시에는 국내법적 관점을 고려해야 한다. 왜냐하면, AOA에 따르더라도 완전히 독립기업거래처럼 내부거래를 인식할 수 있는 것은 아니며, 국내법 규정에 따라 AOA의 적용범위가 다를 수 있기 때문이다. 둘째, AOA의 적용에 대한 확실성과 일관성을 보장하기 위해 정부는 권한있는 당국 간 상호합의(MAP) 등을 통해 AOA의 적용 여부 및 세부 적용방법에 대해 협의할 필요가 있다. 셋째, 「국제조세 조정에 관한 법률」에 별도 조문을 신설하여 내부거래 유형별 귀속방법, 자기자본의 귀속, 비교가능성 분석 및 정상가격결정 시 고려해야 할 세부 지침을 포함해야 할 필요가 있다. 마지막으로, 고정사업장 이윤의 귀속을 위한 독립기업원칙의 적용에 대한 과세당국의 증명책임 부담을 완화하는 차원에서, PE에 귀속되는 자산, 부채, 자본은 물론 내부거래 손익의 인식 현황을 보여주는 재무제표의 작성·보관 및 제출 의무를 부여하는 방안을 검토할 필요가 있다. The OECD adopted a significant people function(“SPF”)-based approach in 2008 and 2010 through a two-step procedure, to derive the attributable profits of a permanent establishment(“PE”) in the host country. As the assets, risks and capital legally belong to the enterprise as a whole rather than to any one part of the enterprise and that since there can be no separate legal transaction between different parts of a single entity, the OECD member countries have agreed by consensus that it is necessary to supplement the functional analysis of Article 9 of the OECD Model Tax Convention by applying the functional analysis and contractual terms among five comparability factors by analogy in light of the factual circumstances of the PE. Accordingly, the authorised OECD approach(i.e. the AOA) attributes to the PE the economic ownership of those assets for which the significant functions relevant to the economic ownership of assets are performed by people in the PE and those risks for which the significant functions relevant to the assumption and/or management of risks are performed by people in the PE. Ultimately, the entire profit attribution to PEs should be based on the significant people functions(i.e. SPFs), and, consequently, the relevant assets and risks and the capital to support those risks should follow the SPFs for the purpose of attributing profits to PEs. In addition, the adoption of AOA suggests that most of the OECD member countries intend to expand taxing rights of the source country. This development can also be understood in the same context as broadening of the definition and scope of PE as a result of Action 7 of the OECD/G20 BEPS Project. In this context, Korea appears to have adopted the AOA without any reservations or observations in relation to the attribution of profits to PEs. Korea, however, did not seem to respond in a timely manner when viewed in both international and domestic perspectives. I, therefore, would like to point out that Korea is advised to take into account the policy considerations as set forth below. First, from an international perspective, it would be necessary to initiate mutual agreement procedures(i.e. MAPs) with Korea’s tax treaty partners regarding whether the AOA should be applied or not and, if so, to what extent it is applied and how it should be applied properly with a view to ensuring the certainty and consistency of the AOA implementation as well as providing for double taxation relief. Secondly, from a domestic perspective, the details related to the application methodology of the AOA should clearly be stipulated in the Law on Adjustment of International Taxes(i.e. LAIT) and its implementing ordinance, particularly including the facts that only SPFs should be considered for the purpose of attributing profits to PEs and the assets, risks and capital should not be compensated separately without considering the SPFs relevant to the economic ownership of assets and the assumption and/or management of risks. Lastly, with respect to the attribution of profits to PEs, it will be needed to impose on taxpayers the requirements to prepare and keep, if necessary, and to submit the relevant documents, including financial statements showing how the internal dealings are recognised and recorded, with the aim of ensuring the balanced burden of proof between taxpayers and the tax administration.
