최근 한국에서는 IMF 경제위기를 극복하고 국가경쟁력을 향상시키기 위하여 재벌개혁 및 기업의 지배구조 개선을 활발하게 논의하고 있으며, 상법ㆍ증권거래법 등 관련법규를 대폭 개정하기에 이르렀다. 이와 같은 논의와 법 개정의 배후에는 세계 각국이 코퍼레이트ㆍ가버넌스를 활발하게 논의하는 경우도 있으나, 직접적으로는 IMF나 IBRD의 요구에 따르는 것이고, 국내에서는 재벌의 폐해를 인식하고 이를 개혁하려는 사회적 합의가 이루어졌기 때문이다. 한국에서는 기업경영의 투명성, 책임성, 효율성을 확보하기 위하여 ALI나 OECD의 기업지배구조원칙을 그 기준으로 하고 있다. 1999년에는 지배구조개선위원회가 설치되고, 기업지배구조 모범규준을 제정하였으며, 동 취지에 따라 상법ㆍ증권거래법 등을 연속하여 개정하였다. 그러나 유감스러운 것은 지배구조개선을 위한 충분한 논의와 검토가 있었다기보다는 IMF나 IBRD의 요청을 실현하기 위하여 회사의 구조에 큰 변화를 기하는데 성급한 절차를 밟아야 했다는 점이다. 본 보고서에서는 우리 나라에서는 재벌의 성장과 그 폐해 및 종래 기업지배구조상의 문제점을 고찰하고, 최근 개정상법을 중심으로 기업지배구조의 내용을 정리하여 보고한다. 특히 우리 제도상 혁신적 변화라고 할 수 있는 사외이사에 대하여 상세히 고찰하고, 이사회 내의 각종 위원회 특히 감사위원회에 대하여 제도의 취지 및 현상, 문제점 등을 고찰하여 보고한다. 그리고 일본의 2002년 개정상법상의「위원회등설치회사」와 미국법을 비교하면서 우리 법제의 위치를 찾아본다. 결론적으로 본 보고를 통하여 사외이사의 독립성 확보방안, 위원회제도(감사위원회 포함)의 재편 및 보완, 집행임원제도의 도입, 재벌 자체의 실질적 변화 등을 주장한다.

In this work, we found that Ni60Ti40 mixed powder could be transformed into a metastable Ni60Ti40 alloy by using a mechanical alloying process. In the process, the mixed powders were milled by using energetic zirconia balls in the closed container for 1, 2, 4, 6, 12, or 24 hours. We measured the saturation magnetization and we used X-ray diffraction (XRD) and X-ray absorption fine structure (EXAFS) spectroscopy to perform structural analyses. The XRD and the EXAFS analyses showed that the crystalline structure and the local structures around Ni atoms changed with increasing milling time. From the analysis, we found that the alloying process was activated for 4- to 12-hour milling times and become saturated in for 12- to 24-hour milling times. We also found that the magnetic ordering could be interpreted by using the Ni-Ni ordering in the Ni60Ti40 mechanical alloys. 본 연구에서는 기계적 합금화 방법을 통하여 Ni60Ti40 혼합 분말이 Ni-Ti의 새로운 합금으로 변환되어가는 것을 확인하였다. 기계적 합금은 밀폐된 용기에 Ni60Ti40 혼합 분말 지르코니아 충돌구를 넣고 흔들어 분말을 밀링 (milling, 분쇄 과정)하여 만들었으며, 밀링은 1, 2, 4, 6, 12, 24시간 동안 실시하였다, 이 과정 속에서 혼합분말의 합금화 정도를 알아보기 위해 시료의 포화자화와 결정 구조 및 국부미세구조를 분석하였다. 시료의 포화 자화는 밀링 시간이 증가함에 따라 감소하였으며 특히 4 ~ 12 시간의 밀링에서 급격히 감소하였고 결정구조 및 국부미세구조도 이 시간대에서 큰 변화가 있는 것을 확인하였다. 이와 같은 변화는 12 ~ 24시간의 밀링에서 거의 멈추었고 시료의 자화와 구조를 분석한 결과 이 Ni60Ti40 기계적 합금의 자기 정렬 (magnetic ordering)이 Ni-Ni 결합의 국소정렬 (local ordering)과 밀접한 관계가 있음을 확인하였다.

The board of directors has two main functions : (1) Policy decision for business execution : and (2) monitoring the execution of directors. The 1999 and 2001 amendments of Korean Commercial Code enhanced the monitoring function of the board : concerning outside directors and audit committee. But they are not enough to secure the transparency and accountability, efficiency of corporate management. Because there is a conflict of power between chief director and general directors who are the members of the board of directors. The function of the board, executing and monitoring function, must be separated in Korean Commercial Code. In recent, American and Japanese Law have achieved the separation. As a result, monitoring is belong to the board, but business execution is a role of executive committee. The executive committee is composed of president, executive vice presidents, secretary, treasurer etc.. They are called officers. Their duties and responsibilities entail many of the same issues as experienced by directors. This discuss will be applied to the government business corporations to secure the transparency and accountability, efficiency. In this study, the needs to improve management organs of corporations and government business corporations are studied. Particularly, the problems between chief director and the board of directors in corporation and the problems of nominating president in government business corporations.
