        한국 IT 기업의 M&A 전략과 시사점

        본 연구의 목적은 국내 IT 기업의 인수합병이 내부 역량강화의 전략적 측면에서 나타나는 성과를 다음 커뮤니케이션과 카카오 그룹의 합병 내용을 실증 분석한 내용이다. 다음이 카카오와 합병을 추진한 후 다음이라는 기존의 포털사이트 운영을 카카오의 플랫폼 비즈니스가 영역으로 확대해 가는 모습을 나타냈다. 합병이 이루어지고 주가의 총액은 최고를 경신했으나 조만간 그 가치가 하락했다. 합병으로 인한 기업의 성장성은 일시적으로 하락한 것으로 나타났는데 이는 합병으로 인한 내부적 비용의 발생으로 사료된다. 수익성의 경우에도 합병이 긍정적인 성 과를 보이지 않았다. 안정성의 경우에는 합병으로 인한 기대 심리가 반영이 되어 다소 상승한 것으로 나타났다. 두 기업의 합병을 시계열적 분석을 통해 보면 다음이 카카오에 대한 관심이 많았지만 합병이후 다음과 카카오의 관심 도가 유사하게 나타났다. 이는 다음의 검색 사이트보다는 카카오의 다양한 플랫폼 비즈니스 확장으로 인한 결과로 보여 진다. 본 연구의 결과로부터 국내의 IT기업들이 자신의 자원 혹은 역량을 강화하기 위한 M&A를 추진할 때에 는 시너지를 창출할 전략적 요인들의 분석을 통해 접근을 해야 할 것을 제시한다. The purpose of this study is to analyze the effects of mergers and acquisitions of domestic IT companies on strategic aspects of internal capacity enhancement. Empirical analysis applied to this study analyzed the business performance in the market through the merger of Daum Communications and Kakao Group. After Daum pursued the merger with Kakao, it showed that the platform business of kakao is expanding to the domain of the existing portal site. The merger was completed, and the total value of the stocks went up to the highest level, but soon its value declined. The merger shows that the growth potential of the enterprise is temporarily declining, which seems to be the internal cost of the merger. Even in the case of profitability, the merger did not show positive results. In the case of stability, the expectation due to the merger was reflected and slightly increased. The following two companies were interested in the kakao when they viewed the merger through a chronological analysis. However, after the merger, the interest of the next kakao was similar. This is seen as a result of the expansion of kakao's diverse platform business rather than the following search sites. From the results of this study, it is suggested that domestic IT companies should approach by analyzing the strategic factors that generate synergy when pursuing M & A to strengthen their resources or capabilities.

        국내 IT기업의 M&A 결정요인 및 성과에 관한연구

        The purpose of this study is to analyze the determinants of M&A and the achievements of M&A strategy for domestic IT company. Companies will consider growth, profitability, and stability as factors that determine M&A. Companies analyze complex market conditions, trends, and financial situations of corporations and use them as a way to generate various performance related to corporate growth through strategic M&A. The sample companies selected to conduct this study were the IT companies(Naver Corp.) that grew to be the top companies in the industry in a short period of time through continuous M&A among listed companies in Korea. We analyzed the determinants of M&A based on the performance indicators for 15 years from 2002 to 2017 and the results related to Naver Corp.`s performance. Through this study, it is possible to grasp the growth strategy through strategic attempts of Korean companies' M&A, and it suggests suggestions to be taken into consideration when verifying the theoretical basis presented in the previous studies and domestic companies pursuing M&A. 본 연구의 목적은 지속성장을 이룬 기업을 대상으로 M&A 결정요인과 M&A전략에 대한 성과를 국내 IT 기업을 대상으로 실증분석 하였다. 기업들은 M&A를 결정하게 되는 요인으로 성장성, 수익성, 안정성 등을 고려하게 된다. 복잡한 시장상황과 트렌드, 기업의 재정상황을 정확히 분석하여 전략적 M&A를 통해 기업의 성장과 연관된 다양한 성과를 창출하는 방법으로 사용한다. 본 연구를 수행하기 위해 선정한 표본기업은 국내 상장기업중 지속적인 M&A를 통해 성장한 IT기업으로 기술을 주력사업으로 영위한 기업인 네이버(주)를 중심으로 실증 분석하였다. 네이버(주) 기업의 2002년∼2017년까지 15년간 성과지표를 토대로 M&A를 하게 되는 결정요인 및 기업의 성과와 관련된 내용을 분석하였다. 본 연구를 통해 국내 기업의 M&A의 전략적 시도를 통한 성장 전략을 파악할 수 있었으며 기존의 선행연구들에서 제시한 이론적 근거에 대한 내용 검증 및 국내 기업들이 M&A 추진할 때 고려해야 할 시사점을 제시하고 있다.

        In this paper, we examine the dynamic electromechanical behavior of an edge crack in a piezoelectric ceramic layer bonded between two elastic layers under the combined anti-plane mechanical shear and in-plane electric transient loadings. We adopted both the permeable and impermeable crack boundary conditions. Fourier transforms are used to reduce the problem to the solution of two pairs of dual integral equations, which are then expressed to a Fredholm integral equation of the second kind. Numerical values on the dynamic energy release rate are presented to show the dependences upon the geometry, material combination, electromechanical coupling coefficient and electric field.

      • RACK ROLLING을 고려한 R/P GEAR SYSTEM 설계

        The change in energy paradigm according to global eco-friendly policies is accelerating popularization of electric vehicles, and as the time of sharing economy and autonomous car is coming, steering system is also facing new challenges. As part of that, in order to cope with increase in the weight of electric vehicles and rapid increase in mileage of autonomous vehicles, each supplier need to ensure reliability of their R/P Gear system(DP-EPS, SbW, MRP) under more severe conditions. In this paper, in order to improve the reliability of the rack(or pinion) tooth, which are the main parts of the system, a factor called ‘Stress factor’, which is independent from the contact ratio and another factors that have been used traditionally, is introduced to examine stress concentration phenomenon which is occurred on tooth by ‘Rack rolling’. The factor is validated by comparing it with our past test history, and furthermore, a review tool is created using excel so that engineers can use it easily. By confirming the durability of the gear in advance through this paper, reliable data can be presented when trying to receive contracts, and time and cost can be reduced by preventing design changes related to tooth failure that may occur during the development process.

      • 치변형 분석에 기반한 웜기어 치형 최적화

        The optimization method of tooth modification is presented to improve performance of the worm gear applied to the chassis system. In the flow of electrification of the vehicle, the chassis parts, such as steering and brakes, are being converted to a by-wire type. The plastic worm gear is widely applied to the reducer of these modular parts because it has advantages in term of size, weight, gear ratio, noise and vibration. In order to improve fuel efficiency, space and performance of the vehicle, improving the reducer of the modular parts is required. In this paper, we examine failure mechanism of plastic worm gear caused by tooth deformation and stress concentration and propose the worm gear meshing model to analyze the meshing process considered for deformation. Through this model, the load distribution and deformation of contact point can be obtained at every meshing step. The tooth profile optimization is performed to minimize maximum load using evolutionary strategy. The effect of tooth modification is compared with the finite element analysis at the theoretical level, and the proposed design is evaluated by durability test.

      • Belt Type 기구연결식 전동 조향 장치용 볼 스크류의 수명 예측에 대한 연구

        In the belt type electric power steering system, the ball screw is commonly used to transmit motor rotational torque to axial steering assist force. The ball screw operation behavior has influence on the gear NVH and steering feel. High production quality can improve the initial performance of the steering gear, but the ball screw need to be designed with proper size to prevent performance degradation during the vehicle life cycle. The ball screw in the steering gear operates with severe condition when compare it to traditional ball screw operation condition. Because it is applied high axial and radial force from the various condition that the steering gear need to endure. Improper ball screw sizing without considering this severe condition can be result to premature durability failure. However, it is difficult to predict ball screw life because evaluating ball screw durability by test spends numerous cost and time. Especially when the reliability of the ball screw needs to be predicted for the new steering design without tests or mass production. To solve this problem, this study presents the method to predict ball screw durability numerically. First, durability failure of ball screw definition studied to define numerical criteria of the ball screw life and the maximum contact stress. Second, the ball load distribution and contact stress calculated with Hertz contact theory, and the ball screw life calculated based on ISO standard. However, there are some impractical points of ISO standard to calculate steering ball screw life. This is mainly discussed in this paper and new methods of life calculation studied. Lastly, the ball screw life calculation results compared with durability test results and the steering gear field clam ratio.
