항만의 소유와 관리체계 하에서 항만관리주체와 부두운영회사(TOC: Terminal Operation Company)간의 가장 중요한 계약관계는 TOC 부두에 대한 임대차계약이다. 이러한 측면에서 본 연구는 항만의 임대차계약을 효율적으로 관리하는 방안을 제시하는 것을 연구의 목적으로 하였다. 연구의 방법으로 항만관리주체인 부산항만 공사, 인천항만공사, 항만청의 계약관련업무 담당자 및 TOC의 계약관련업무 담당자를 대상으로 전문가 인터뷰(In-depth Interview)실시하고, 국토해양부 감사보고서 및 대법원 판례를 검토하여 실증 비교분석을 수행하였다. 연구결과, 효율적인 임대차 관리를 위하여 다음 세 가지의 방안이 필요한 것으로 분석되었다. 첫째, 임대시설물과 관련하여 임대시설물 유지보수 주체설정 및 임대시설물 보험가입이 필요하다. 둘째, 계약갱신과 관련하여 기간만료전 협의기간 지정과 계약해지와 관련하여 해지예고기간 설정 및 임대인의 약정해지권 조항 명확화가 필수적이다. 셋째, 이행보증보험증권 등의 이행보증수단 확보를 통하여 임대료 및 위약금 징수방안을 강구하여야 한다. The most important contract in line with port operation, and governance between Port Authority(PA) and TOC (Terminal Operation Company) is a Lease Contract (LC). In this respect, the aim of this research is to analyze effective management strategies on port`s LC. As research methodology, the in-depth interviews were proceeded with experts who work in Busan Port Authority(BPA), Incheon Port Authority(IPA), and the Korea Maritime and Port Administration. In this procedure, several LC`s drawbacks were obtained. The improvement strategies were suggested based on cross-check results which came from analyzing the inspection reports of Ministry of Land, Transport and Maritime Affairs, and supreme court judgments. The research results are as follows: firstly, for efficient lease facilities` management, it is needed to decide the principal agent regarding maintaining and repairing the facilities, and furthermore it is necessary to take an insurance policy. Secondly, before the expiration of lease term, it is needed to fix the period of consultation for renewal of a contract. Regarding the termination of a contract, the clauses such as leaser`s right to terminate a contract, and the prior notice are required. Thirdly, to guarantee the collection for the rental fee, and the penalty for breach of contract, the performance guarantee insurance policy is required.

In the ShaoSheng period of ZheZong Emperor at the Northern Song, in order to get the reward, ZhongChuan deceived the center government of Northern Song.Superficially, the officials’ desire was the reason, but injustice reward was. After the war began during ShaoSheng period, some officials’ reward were very rich, because of the relation with Prime Minister ZhangDun. But the family conditions of Zhong Chuan was general, and he had no protection for important politicians. His reward more less than some officials’, so this unfairness led to imbalance, finally, led to the case of false report. So, the case of Baicaoyuan false report reflected so much disadvantages exiting the reward and punishment system, and this case also reflected patron-client corruption was the real reason. 北宋哲宗绍圣时期,钟传向朝廷虚报军功,企图诈取恩赏,从表面看,此案是由官员贪念军赏所致,而实质上是因赏罚不公引发。绍圣拓边开始后,部分官员凭借着与宰相章惇私人交往而获恩赏;而钟传既无显赫家世又无权贵庇护,所以他每次所获军赏远不及那些“有关系”的官员,既而引发了他的心理失衡,最终导致了“白草原冒功案”的发生。因此,“白草原冒功案”反映出了宋代赏罚制度中诸多弊端的存在,同时也折射出“庇护式腐败”是造成这些积弊的主要根源。
