본 연구는 국내 금융지주회사의 현황과 문제점을 살펴보고 이러한 문제를 해결하기 위한 방안을 연구 하였다. 금융지주회사별 문제점을 분석하였고 추가로 각 문제점 별 전략적으로 해결 가능한 발전 방향을 모색하였으며, 해외 금융지주회사의 지배구조를 분석하여 국내 금융지주회사와 비교하여 해결 방향을 모색하였다. 본 연구의 중요 분석 결과는 다음과 같다. 금융지주회사의 문제점을 네 가지로 나누어 발전방향을 살펴보았다. 먼저 권한과 책임의 불일치 문제에 있어서 금융지주회사에 대한 자회사 이익 보호 의무를 신설하고, 손해가 발생할 경우 배상 책임을 부과할 수 있는 장치를 마련하는 것을 제안하였다. 두 번째로 사외이사의 독립성·책임성 결여 문제는 사외이사의 독립성 요건을 명확하게 정의하고, 지주와 관계내역을 주주총회, 연차보고서 등을 통해 공개하는 것을 제안하였다. 세 번째 지배와 소유의 괴리 문제의 경우 한국형 스튜어드십 코드(stewardship code)를 도입하여 기관투자자의 경영참여를 권고하면 일정 부분 해결 가능할 것으로 제안한다. 마지막으로 겸업화와 시너지 창출 문제를 해결하기 위해서는 한국형 매트릭스 조직으로 재구성하여 단점을 최소화하며 장점을 취할 수 있는 전략을 제안하였다. 따라서 본 연구는 사회적 책임 및 경영의 효율성을 제고하는 차원에서 건전한 지배구조를 확립하는 현 금융산업 측면에서 금융지주회사의 올바른 지배구조를 확립할 수 있는 방안을 시사하며, 이와 관련된 연구에 공헌할 것으로 기대한다. This research focuses on the problems and current issues of the ‘financial holding companies’, and solutions to the problems. This research analyzes the problems of financial holding companies and aims to strategically address the direction of development. The paper also gives a comparative analysis to the corporate governance of foreign financial holding companies to seek the solutions to the issues of the domestic companies. The main results of the research are as follows: This paper reviews the problems of the financial holding companies by four pillars: First, in order to solve the issues from discrepancy between authority and responsibility, financial holding companies should have a protection responsibility of its subsidiaries profits and should make a safe guard for financial holding companies to have liabilities when damages are made. Second, the lack of independence, and responsibility of outside directors can be solved by clearly defining the independence regulations of the independent directors, and release the information on the relationship with the holding company through channels such as the shareholder’s meeting and annual reports. Third, the issue from discrepancy between the ownership and governance of the company can be solved by adapting the Korean Stewardship Code and suggesting the management participation of institutional investors. Fourth, to maximize the advantages of financial diversification, the organization should be reformed into the Korean organizational matrix structure. Therefore, in order to address the corporate responsibility issue and the efficiency of management, this research suggests the method to establish a sound corporate governance structure, and contributes to the study of that field.
