    기업의 업무위임관계에서 情報不均衡 및 觀察 不可能性이 존재할 때 경영자는 우월한 정보를 자기이익을 위하여 사용하는 道德的 危害의 문제가 발생한다. 경영자의 도덕적 위해에 대하여 소유자는 監査人을 선임하여 경영자의 經營成果報告의 眞實性 여부를 검증한다. 감사의 檢證機能이 제대로 발휘되면 경영자의 도덕적 위해는 줄어들 것이다.
    그러나 만약 감사인의 選任權이 경영자에게 있다면 협조적인 監査人을 구하려 할 것이다. 이에 따라 협조적인 감사인은 留任될 것이나 비협조적인 감사인은 交替를 당하게 된다.
    감사인은 경영자를 감시하기 위하여 소유자에 의하여 등장한 또 하나의 대리인이기 때문에 被監視人인 경영자가 자기를 감시할 감사인을 직접 선임하게 해서는 안 될 것이다. 그런데 우리나라의 監査人 選任制度는 경영자가 감사인을 선임하여 소유자의 승인을 받게 되어 있으나, 승인이 다분히 要式行爲에 불과하여 實質的 監査人 選任權은 경영자에 있으므로 도덕적 위험의 가능성이 크다.
    경영자의 도덕적 위해에 의한 감사인의 교체가 광범위하게 이루어질 때 감사의 기능이 제대로 발휘되지 않을 것이며 이해관계자에게 잠재적 손실을 끼치게 될 것이다.
    본 연구는 監査人 交替 前後의 財務情報의 質을 측정하여 감사인 교체가 경영자의 道德的 危害의 의도에서 행해졌는가에 대한 증거를 보이고자 하는 목적에서 이루어졌다. 不實企業이 健全企業에 비하여 감사인을 교체하려는 성향이 높다는 것, 그리고 부실기업의 감사인 교체가 재무정보의 질적 하락을 가져온다는 것을 검증하여 전체적으로 부실기업의 경영자가 도덕적 위해의 목적으로 감사인을 교체하려 한다는 사실을 검증하였다.
    도덕적 위해 목적에서 財務諸表에 情報의 隱蔽가 일어날 때 재무제표에 포함된 정보의 질은 낮아질 것이다. 이러한 情報의 質的 水準 低下를 측정하기 위한 代用變數로서 본 연구에서는 財務情報의 不實豫測力을 사용하였다.
    부실기업은 자기에게 유리한 방향으로 회계처리를 하도록 협조하는 감사인을 선임하려는 경향이 있기 때문에 監査人 交替 빈도가 건전기업에 비하여 높다는 것을 검증하기 위하여 다음과 같은 가설을 세웠다.
    가설 1 : 不實企業은 健全企業에 비하여 監査人을 交替하는 比率이 높다. 경영자의 監査人 交替 혹은 留任을 결정하는 문제에 있어 감사인이 협조적이라면 경영자는 감사인 교체를 시도할 가능성이 적으나 비협조적이라면 보다 협조적인 감사인으로의 교체유인이 커진다.
    감사인이 협조적이지 않을 때는 기존 감사인은 교체를 당하게 되므로, 감사인 교체가 발견되면 감사인 교체전의 감사인은 비협조적이었다는 추론이 가능하다. 비협조적인 감사인이 감사한 교체전의 재무정보의 질은 높고 유임된 감사인이 감사한 채무정보의 질은 낮을 것이다. 따라서 감사인 교체집단의 교체전 재무정보는 감사인 유임집단의 재무정보보다 質이 높다는 것, 즉 不實豫測力이 높다는 사실에 대한 가설을 설정하였다.
    가설 2 : 감사인 交替前에는, 監査人 交替集團의 財務情報 不實豫測力이 監査人 留任集團의 財務情報 不實豫測力보다 높다.
    한편, 감사인 교체는 協助的인 監査人으로서의 교체이므로 감사인 교체집단의 재무정보는 감사인 유임집단의 채무정보와 같은 水準으로 질이 低下되어 감사인 교체집단 채무정보의 질이 감사인 유임집단의 그것보다 높지 않을 것이므로 제3가설은 다음과 같이 설정하였다.
    가설 3 : 감사인 交替後에는, 監査人 交替集團의 財務情報 不實豫測力이 監査人 留任集團의 財務情報 不實豫測力보다 높지 않다.
    이상의 가설을 검증하기 위하여 1990년부터 1995년 8월까지의 외부감사대상 업체를 감사인 교체여부 및 부실발생여부에 따라 구분하였다. 제1가설의 검증을 위하여 카이자승에 의한 獨立性 檢證을 실시하였다. 제2가설 및 제3가설의 검증을 위하여, 賣出額純利益率, 總資本回轉率, 負債比率, 現金흐름比率을 사용하여 不實豫測模型을 정립하였다.
    감사인 교체집단의 부실예측력이 교체전에는 감사인 유임집단보다 높고, 교체후에는 감사인 유임집단보다 높지 않다는 것을 검증하기 위하여 Probit분석을 실시하였다. 또한, 각 집단별로 模型의 適合性을 비교하기 위하여 誤分類率을 계산하였고, 여유변수를 곱하여 통합부실예측모형을 수립하여 統合假說檢證을 실시하였다.
    가설검증의 결과 연구가설 세개 모두가 수용됨으로써 부실기업 경영자가 경영성과의 왜곡보고 목적으로 감사인을 교체하고 있다는 사실이 발견되었다.
    도덕적 위해 목적의 감사인 교체는 재무정보의 질적 수준을 저하시킴으로써 이를 이용하는 이해관계자에게 잠재적 손실을 초래하므로 이를 제거하기 위한 방법이 강구되어야 할 것이다.
    대리이론적 관점에서 찾을 수 있는 경영성과 보고과정의 도덕적 위해의 해결 방법으로 우선 監査人 選任制度를 살펴보아야 할 것이다. 소유자인 경영자가 직접 감사인을 선임하는 제도와 경영자와는 전연 독립적인 제3자에 의해서 감사인이 선임되도록 하는 방법이 있을 것이다. 또 다른 방법은 감사인의 검증행위의 진실성 여부를 검증하는 제도의 강화를 생각해 볼 수 있다. 즉 감사인에 대한 監理制度를 强化하는 방법이 그것이다.
    기업의 모든 문제를 外的 强制規制로 해결하기보다는 기업자체의 役割分擔 에 의한 자율적 규제에 의해서 해결하는 것이 나을 것이므로 감리제도의 개선보다는 현행의 감사인 선임제도를 개선하는 것이 근본적인 해결방법이 될 것이다.
    특히, 피감사인의 경영자와 소유자가 동일하여 원천적으로 관찰가능성이 봉쇄되어 있을 때는 소유자에 의한 감사인 선임제도는 의미가 없으므로 이때는 경영자와 독립적인 제3자에 의해서 감사인이 선임되어야 할 것이다.

    It is generally recognized that manager of a fun is much better informed about the activities and performances of the fun than owner, This gives rise to an asymmetrical information problem with the manager being the better informed party. Financial reporting is the primary source of information for the owner, but the owner cannot observe the truthfulness of manager's financial reporting.
    When the manager's compensation is related to reported performance and he is free to select any reporting method, he would select one which will overstate the performance of the firm and provide loss information to the owner.
    As is generally recognized, auditing may be viewed as a detection mechanism of manager's performance reporting.
    However, if the right to choose auditors belongs to manager, manager may initiate an auditor change in an attempt to select favorable reporting method. In such cases, there is a potential for moral hazard because manager will overstate his performance and/or suppress the unfavorable information.
    In failing firms, successful information suppress might provide managers more time or cash to attempt to bail out their company, Especially if the company's prospects are bleak information suppression might give managers a chance to sell any shares they might own at a higher price than they might receive if the information was reported as quickly and accurately as possible. There is not a proper model to classify directly the companies who suppress or delay the release of unfavorable information, However, we can find out some indirect evidences which indicate that auditor change companies tend to suppress unfavorable information.
    In this study, I provide indirect empirical evidence of information suppression in a sample of audited firms, This evidence indicates that there is moral hazard of managers which can give rise to information suppression in Korea.
    II. Hypotheses and methodologies
    The financial distress can be viewed as influencing auditor changes in two different ways: (1) The complex business uncertainties present in failing firms may create conditions which are conductive to changing auditors, since financial distress may be correlated with the existence of factors that give rise to auditor changing. (2) The influence of factors which are instrumental in auditor switching may be contingent upon the financial condition of the firm. For the above reasons, there may be many conflicts between managers and auditors, and failing firms intend to change auditors more frequently than healthy firms.
    H1 : Failing firms are more inclined to change auditors than healthy firms.
    Due to moral hazard, managers of failing firms have incentives to suppress unfavorable information. Auditors who fear losing the quasi-rents in subsequent audit tend to cooperate with the manager's information suppression,
    To the extent that the auditor cooperates with the information suppression, there is little incentive for the company to contemplate an auditor change. However, if the auditor refuses to comply with managers' wishes, there is greater incentive for manager to replace the incumbent auditor with a more compliant one. Thus, when an auditor change is observed, we might expect that information contained in previous financial reports would be subject to less information suppression than that of companies that did not change auditors, all other things being equal.
    Information suppression necessarily lower the quality of information. This lower-quality information should result in inferior predictions of subsequent bankruptcy. Alternatively, if information suppression is not taking place, then the quality of information by both groups (audior change group and no auditor change group) should be similar, Hence, 1 set following hypothesis.
    H2 : Before the auditor switch, the information quality of auditor switch group is higher than that of no auditor switch group.
    Once a failing firm has decided to change auditors, managers will attempt to select an auditor that is likely to cooperate information suppression, The nearer the date approaches to bankruptcy, the greater the prediction power becomes.
    Thus the third hypothesis is as follows:
    H3 : After auditor switch, the information quality of auditor switch group is not higher than that of no auditor switch group.
    If hypothesis 2 and hypothesis 3 are accepted, that provides evidence which manager tend to change auditors on the purpose of information suppression.
    Bankruptcy prediction models were generated by following guidelines set forth in previous studied of bankruptcy prediction researches. Using previous studies of bankruptcy and taking into account managerial incentives to enhance suppression of information, following four financial ratios were selected as independent variables. (1) Net Income/Net Sales (2) Net Sales/Total Assets (3) Total Liabilities/Net Equity (4) Cash Flow/Total Assets
    Bankruptcy prediction models were constructed using probit analysis.
    For hypothesis 2 and hypothesis 3, two types of analysis were performed. The first one is a diagnostic testing which consists of single treatment models for each auditor change condition. For goodness-of-fit test, misclassification rates were calculated method,
    The second one directly compares the auditor change condition to the no auditor change condition. Each ratio was multiplied by a dummy variable to indicate whether an auditor change took place,
    III. Results
    In test 1, the result of chisquare independence test supports that there is high dependence between auditor switch rate and financial distress. Furthermore, failing firms switch auditors higher than the expected auditor change rate. This implies that failing firms have more conflicts with auditors than healthy firms.
    The result of diagnostic test in test 2 shows that bankruptcy prediction power of auditor switch group is stronger than that of no auditor change group. This means that there is less information suppression in auditor switch group before auditor switch.
    In test 3, after auditor switch, bankruptcy prediction power of auditor switch group is apparently weaker than that of no auditor switch group. This means that there is more information suppression in auditor switch group after auditor switch.
    Taken together, the results of three tests show evidences that manager tend to switch auditors on the purpose of moral hazard. Because the moral hazard of managers brings social loss, solutions must be considered.

    The result of diagnostic test in test 2 shows that bankruptcy prediction power of auditor switch group is stronger than that of no auditor change group. This means that there is less information suppression in auditor switch group before auditor switch.
    In test 3, after auditor switch, bankruptcy prediction power of auditor switch group is apparently weaker than that of no auditor switch group. This means that there is more information suppression in auditor switch group after auditor switch.
    Taken together, the results of three tests show evidences that manager tend to switch auditors on the purpose of moral hazard. Because the moral hazard of managers brings social loss, solutions must be considered.
