A public contract is made in order to produce public goods such as public construction projects, and the notice of tender is given by a public ordering agency, who is in a superior position than the various private construction firms. A successful bidder is selected through tendering procedures and a contract is signed, and the total process is regulated by “the Act on Contracts to Which the State is a Party”(i.e. the State Contract Act). The State Contract Act applies administrative measures, such as restrictions on future biddings and imposing fines, for unfair practices of the other party. However, for all other acts including unfair practices of the public agency, the State is considered a private agent conducting private acts, and such acts are subject to civil proceedings.
The State Contract Act prohibits ordering agencies from using their superior position to sign into special agreements or conditions which unfairly restrict the profits of the other party and orders the other party to execute the contract in good faith. Laws other than the State Contract Act, such as Civil Law, the Monopoly Regulation and Fair Trade Act, the Standardized Terms Regulating Act, and the Framework Act on the Construction Industry also specify the subcontract rule and prohibition of unfair special agreements. However, concerning unfair special agreements of public agencies, the court puts more weight on private autonomy than the publicness and fairness of public contracts, resulting in an excessively strict interpretation of 'unfairness' in such cases. Unfair contracts are not decreasing due to traditional power dynamics of public construction projects, the profitability prioritizing culture, and strict interpretation of unfair special agreements. This results in economic, psychological damage of construction firms and also the deterioration of the quality of public facilities along with higher risk of accidents during construction.
This study examines cases and judicial precedents of unfair contracts according to different types of public agencies, proposes various remedies to protect the rights of the construction firms other than civil proceedings, and considers reasonable ways of public law regulation to prevent public agencies from unfair contracts and to secure the fulfillment of contracts in good faith.
The first method is to prevent unfair contracts by improving the current law and institution. The provision nullifying unfair contracts, which is currently provided by an enforcement ordinance and general conditions, should be regulated by law in order to raise its effectiveness. Some unfair cases should be listed concretely in the law, doubtful provisions should be fixed as compulsory provisions, and unfair special conditions from different public agents should be corrected systematically by standard contract terms.
Another method is to establish a contract-evaluating task force under the Ministry of Strategy and Finance to monitor unfair contracts in advance while operating systems under the Ministry of Strategy and Finance and the Fair Trade Commission to expose such contracts ex-post facto and to penalize concerning agencies. The protection of rights could also be improved by activating the Conciliation Committee of Resolving Disputes Concerning State Contracts.
The last method is to modify current laws and institutions to strengthen publicness and fairness of the contracting process, to allow adjustment of the contract price if unfair actions are verified afterwards, and to root up attempts of unfair actions by disclosing all information to the public, starting from the determination of estimated price to the unfair actions of the public agency.
This study was conducted in the hopes of finding solutions to reform unfair practices and to settle a mutually reciprocal contracting culture.
