      This study considered the conceptual relationship between organizational culture and organizational climate; which search for the intangible characteristics of school by comparative point of view. And the aim was to find out the relational characteristics between these two concepts, which has obscure conceptual boundary as well as the similarities. First, based on the literatures focused on the organizational culture and climate of schools, problems and implications caused by the establishment of conceptual relationship were discussed. Also the individual and combined meaning of this complex terminology was examined and suggested a result obtained through the similarity and difference of these concepts. In summary, organizational culture and organizational climate are the complex concepts which search and describes for the organizational intangible characteristics and have the similarities in some ways. Firstly, their surrounding environments are the basis of the establishment of these concepts. Secondly, they are closely related to behavioral patterns and shared consciousness among the group members. However, at the individual level, organizational culture is consisted of multi-dimension of symbolic and meaningful elements based on the shared consciousness among the members.
      Also it includes metal and material aspects and has a characteristic; it is settled by fairly long term and can be learned and passed on. On the other hand,organizational climate is an physical and psychological characteristic itself. It includes spontaneously and artificially fostered factors, and takes shorter period and simply formation process compared to organizational culture.
