    Today, ethical management of enterprises is perceived as one of the most important corporate activities creating new values such as corporate image improvement, human resource nurturing, corporate competitiveness enforcement and organizational innovation. While more and more people get interested in ethical aspect of the corporate, ethical management has importance in the following aspects. To apply fair and transparent management rules. anti-corruption rounds are propelled mainly by international economic organizations such as WHO, OECD and ICC (www. transparency. org). In this point we cannot be free from the international trend such as enforcement of perception on ethical management, and our companies will be continuously requested to practice world class ethical management (Park Heon-jun, Lee Jong-geon and Gi Beom-seong, 2001, Why are the enterprises ethical? In other words, corporate ethics is the conditions for corporate success in the 21st century and emerges as survival strategy of the corporate. With this new trend, we had experienced various events including large scale fake accounting and illegal electoral fund donation by SK Group (2003), the promise to offer stocks of Glovis (amounted to 1 trillion won) by Hyundai Group relating with illegal succession of the group, and illegal donation and crooked governing structure of Samsung Group, With the incidents, people came to have interest in corporate ethics and request the companies to perform ethical management and take social responsibilities. Additionally, there was a big accident in USA that has been considered as a safe investment. Enron that brought disaster to world economy was the 7th ranked energy company as of December 2001. It was one of the most respected companies in the industry and Fortune announced it as the most innovative company in USA. To know that such a trusted company is the place of all kinds of corruption and absurdity was a big shock to the public. If a company loses trust or creditability in capital market, it will not be able to procure the fund from the market. Consequently, it will collapse and the survival of capital market is not clear, either. In this study, we reviewed the effects of ethical management of the companies and the will to perform CSR on the job satisfaction and the commitment to the organization and tried to verify the effects on the relation of these variables. First of all, commitment to the organization is understood that members would dedicate to the organization with various reasons. However most of the studies regarding organizational commitment have focused on emotional commitment only. It is needed to make efforts to understand the relationship between the organizational commitment and the pre-requisites according to the type of the commitment. Additionally, the studies regarding the effects of ethical management and the capability to perform CSR on the job satisfaction and organizational commitment are insufficient both in quantity and quality, although there have been various studies regarding the relationship between ethical management and organizational commitment. Therefore, this study deal with which variable from job satisfaction and organizational commitment has made more influence on the members of the organization and focus on the verification of the proposals in the previous studies.
