This paper focused on two components of `teaching presence` and `online learning environment`. Through a review of recent literature it is proposed that teaching presence viewed as a related construct with student`s satisfaction and learning. However, recent studies based on text-based learning environment did not coincided with empirical result and theory construct. Therefore, this paper suggested teaching presence focused on rich multi-media based online learning context with contents. Teaching presence in this study has four components-(Ⅰ) Systematic implementation of instruction, (Ⅱ) Facilitating and monitoring learning, (Ⅲ) Facilitating discourse, (Ⅳ) Substantiality in contents. The data from 235 students were verified through exploratory factor analysis, confirmatory factor analysis and stepwise multiple regression. The results implied that the developed teaching presence scale had meaningful construct validity and high reliability. It was also investigated effect of the four components on students` perceived satisfaction. Facilitation and monitoring learning factor is the most predictable variable for students` satisfaction; systematic implementation of instruction, substantiality in contents and facilitating discourse in the order named. Some further research questions were suggested.
