주식회사의 지배구조에 대한 최근 논의와 법적 과제 = A study on recent trend of corporate governance discussion and some suggestions

다국어 초록 (Multilingual Abstract)

If you look at company law discussion today, corporate governance is an issue that is top on anybody`s list. The corporate governance spotlight, for example, is shone very firmly on the CEO and he or she has no room to escape. In each sector of industry, corporate governance is also important contents. For example, the insurance industry has for many years been concerned with shareholder activism and good corporate governance. This article studies the reform trend of corporate law not only in germany, but also in korea, especially in regard of corporate governance. The author analysed the reform discussion in germany, especially in the period of 2009 ∼2012. Thereby he has analysed the reform discussion in regard of corporate governance. It includes board of directors, audit committee, general meeting of shareholders etc. He has furthermore handled statues and theories about account modernization, independence of auditor, auditing, retention of transparency. The independence of auditor is also important issue. The EU-law has also regulations about the specialty of the members of audit committee. The EU countries should reflect this advice into the national law until determined time. In germany the legislator has enacted the specialty of the members of audit committee into the national law through BilMoG in the year of 2009. The enactment in germany and EU will give us helpful suggestions. There is no royal way for the best corporate governance. The competition ist also one of good ways for the corporate governance. The reform trend of corporate law both in germany and korea in regard of corporate governance show some common contents. Germany and korea have shown some same movements in this fields. In the trend of globalization, corporate governance discussion goes to similar ways worldwide. There are also some divergence because of the customs and legal traditions of each country. We should try further to get best corporate governance system that is suitable for our corporate soil.
