공정거래법상 부당지원행위 규제에 대한 비판적 고찰 = 부당지원행위, 경제력집중, 불공정거래, 경쟁제한성, 공정거래법, 기업지배구조

다국어 초록 (Multilingual Abstract)

Article 23 (1) (7) of the Korean Monopoly Regulation and Fair Trade Act (MRFTA) prohibits ``supporting behavior between firms`` (SBF) by (i) providing any kind of tangible and/or untangible assets or (ii) transacting with substantially favorable terms. According to legislative history of the MRFTA, art. 23 (1) (7) was introduced to prevent economic concentration. But the MRFTA do not provide any legal meaning of economic concentration for the purpose of prohibiting. On the other hand, legislative history say that the reason of prohibiting SBF as one kind of unfair trade practice is to regulate all undertakings. Under art. 23 (1) (7), the Supreme Court and the Consitutional Court has decided that SBF is illegal because it causes economic concentration and/or impairs fair trade order. On the other hand, case law also say that SBF restrict competition in the relevant market. In addition, case law decides that SBF is illegal because it cause some problems of corporate governance (e.g., corporate transparency, protection of minority shareholders and creditors of supporting firms). But the problems of corporate transparency and protection of minority shareholders and creditors are not a matter of competition law. Moreover, there is no sound economic theory and no clear evidence which shows that SBF restricts competition in the relevant market. On the contrary, SBF can enhance competition, and the interests of stakeholder of supported firms. For these reasons, SBF should not be treated as unfair trade under competition law. If a certain SBF restricts competition in the relevant market, it would be enough to deal with SBFs as collusion rather than unfair trade.
