Board members of listed companies are elected by controlling shareholders. Sowhen controlling shareholders and listed companies exchange their stocks, minority stockholders' interests are likely to be harmed. Here lies a structural conflict of interest. In Japan, this problem has been settled by appraisal rights given to dissenting minority stockholders. As such, minority stockholders could gain fair prices determined by the court. However, discussions have continued to arise over the adequacy of this measure. This paper will examine the theoretical problems concerning the responsibility of board members in M&A by controlling shareholders, and consider various solutions offered in concrete cases. 상장회사의 임원은 지배주주에 의해 선임되기 때문에 지배주주와 상장회사 사이에서 주식교환이 이루어지는 경우, 소수주주의 이익이 침해당할 가능성이 있다. 즉 구조상의 이익상반문제가 존재하게 된다. 일본법에서는 이와 같은 문제에 대해서 주식매수청구 및 가격결정신청을 통하여 법원이 정하는 공정한 대가를 얻을 수 있는 권리를 소수주주에게 부여함으로써 해결하고 있다. 그러나 이것이 충분한 조치인지에 대해서는 논란이 있어왔다. 본고에서는 지배주주에 의한 M&A에서 이사의 의무와 책임에 관한 이론적인 문제들을 살펴본 후 구체적인 사례를 통하여 현재 실무에서의 문제해결의 기준에 대해서 알아보기로한다.

Computed tomography (CT) and magnetic resonance imaging (MRI) can be useful for the evaluation of palatal lesions, and strain elastography (performed together with intraoral ultrasonography) is a relatively new sonographic imaging modality. This report describes 2 clinical cases in which strain elastography was used to assess palatal tumors in conjunction with intraoral ultrasonography, CT, and MRI. In the first case, diagnosed as a myoepithelioma, the strain was determined to be 0.000% (strain of normal tissue, 0.556%). In the second case, diagnosed as an adenoid cystic carcinoma, the determined strain was 0.000% (strain of normal tissue, 1.077%). Therefore, we conclude that intraoral strain elastography can be useful for evaluating palatal lesions.
Formation of metallic NbSe2 nanotubes and nanofibers

We succeed in synthesizing NbSe2 nanotubes along with nanofibers by chemical vapor transportation. They are stable crystalline systems and can be synthesized reproducibly in a nearly equilibrium reacting process. We have investigated these nanosize structures of NbSe2 by transmission electron microscopy and electron diffraction. Both of the structures have a similar size of 100–200 nm in diameter. While nanotubes consist of rolled-up NbSe2 layers, nanofibers are a pile of thin flat layers. We propose a mechanism of the formation of NbSe2 nanotubes and nanofibers on the basis of deseleniditive transition from a NbSe3 fiber-shaped crystal. We also measured electrical resistance of the nanofibers with conductive atomic force microscopy and demonstrated that the material show metallic behavior at room temperature. 2003 Elsevier B.V.
