        계열사 간 조직통합

        인수합병 후 통합(post-merger integration; PMI)이 M&A 성공에 있어 매우 중요한 역할은 한다는 인식에도 불구하고, PMI의 전체 프로세스를 다룬 연구는 많지 않다. 한편, 글로벌 금융위기 이후, 국경을 넘는 인수합병(cross border M&A)은 위축되고 있는 반면, 그룹내 계열회사 간 등과 같은 관련 기업 간의 합병은 크게 증가하고 있다. 본 연구는 대기업의 계열회사 간 합병을 대상으로, 조직통합의 전 과정을 체계적으로 분석하고, 각 단계별로 이에 영향을 미치는 요인들을 규명하였다. PMI에 대한 선행연구들을 종합하여 조직통합 과정에 대한 포괄적인 연구 틀을 개발하였으며, 이를 바탕으로 사례연구를 통해 기업 간 통합과정과 영향요인, 통합속도 및 통합 시너지를 동시에 분석하였다. 본 연구의 주요 결과는 다음과 같다. 첫째, 계열회사 간 통합은 일반적인 M&A와는 달리 합병 이전의 통합(pre-merger integration)이 매우 중요한 과정으로 나타났다. 둘째, 계열회사 간 합병 이전의 통합 단계에서는 그룹본부(headquarters), 리더십, 커뮤니케이션, 통합추진팀, 인수경험이 중요한 영향요인으로 작용한다. 셋째, 계열회사 간 합병 이후의 통합 단계는 업무 통합(task integration)과 인적 통합(human integration)으로 나뉠 수 있으며, 이 과정에서 비전, 커뮤니케이션, 리더십, 통합추진팀, 초기 성과가 성공적인 통합에 중요한 역할은 한다. 넷째, 업무 통합으로 인한 초기 성과는 인적 통합에 긍정적인 영향을 미친다. 마지막으로, 계열회사 간 합병과 통합에 있어서 통합의 속도는 통합의 단계에 따라 다른 패턴을 갖는다. This study examines the organizational integration process, especially PMI(post-merger integration) through a intensive single case study about a merger between affiliated companies. Despite the recognition that the post-merger integration plays an important role in successful performance of M&A, most previous studies have provided few insights into the whole processes of the integration because they have focused mainly on only one or two side among integration processes, determinants of M&A success, and the speed of integration. On the other hand, since the global financial crisis, while cross-border mergers has reduced, mergers of affiliated companies have significantly increased. This research proposes a comprehensive model including organizational integration process, determinants of integration success, and speed of integration. In an analysis of the successful merger case of LG-Innotec and LG-Micron, we derive several propositions as follows: 1) Pre-merger integration plays an important role in creating integration synergies. 2) In pre-merger integration, headquarters, leadership, communication, integration task force team, and acquisition experiences have positive effects on integration synergies. 3) In post-merger integration, vision, communication, integration task force team, and initial performance have positive effects on integration synergies. 4) the initial performance from task integration has positive effects on human integration. 5) the speed of integration reveals different patterns depending on the integration process. Specifically, when the speed in pre-merger integration slow, the speed in post-merger integration can be fast. It may has a positive effect on achieving the integration synergies. Based on the results, the theoretical and practical implications of the research findings are discussed, and recommendation for future research are provided.

        동적역량과 경쟁우위

        본 연구는 동적역량이 경쟁우위에 미치는 영향을 탐구한다. 동적역량이 경쟁우위의 획득에 있어 중요하다는 이론적 논의는 활발하게 진행된 반면, 실제로 동적역량과 경쟁우위의 관계를 규명한 실증연구는 제한적이다. 이에 본 연구는 1981년부터 2011년까지 우리나라 IT관련 산업 내 기업들을 대상으로 탐험적, 그리고 활용적 혁신의 개념을 활용하여 동적역량을 정의하고, (1) 동적역량이 경쟁우위에 어떠한 영향을 미치며, (2) 환경의 동태성에 따라 동적역량이 경쟁우위에 미치는 영향이 어떻게 달라지는지를 규명하기 위해 연구모형을 개발하고 검증하였다. 연구결과, 동적역량은 경쟁우위와 정(+)의 관계가 있는 것으로 나타났다. 한편, 동적역량이 경쟁우위에 미치는 영향은 환경동태성에 따라 달라지는 것으로 나타났다. 구체적으로, 환경이 동태적일수록 경쟁우위에 미치는 동적역량의 정(+)의 효과가 강해지는 것으로 나타나, 동적역량에 대한 상황론적 관점이 지지되었다. 연구의 결과를 바탕으로 이론적, 실무적 기여와 한계 및 향후 연구방향을 제시하였다. Although a lot of management scholars have accepted the assumption that the dynamic capabilities are crucial for achieving competitive advantages, little is known about the performance implications of dynamic capabilities. This study aims to empirically explore the relationship between dynamic capabilities and competitive advantages. We ask two questions: (1) How do dynamic capabilities influence competitive advantage? and, (2) How is the effectiveness of dynamic capabilities affected by an organizational external contexts? We define dynamic capabilities using the concepts of exploration and exploitation and propose following hypotheses. More specifically, dynamic capabilities have two sub-dimensions: the magnitude and pace of temporal separation between exploration and exploitation. The magnitude of temporal separation refers to the extent that an organization deviates from its average balance between exploration and exploitation at a particular point in time. On the other hand, the pace of temporal separation implies how often organizations shift their orientation between exploration and exploitation during their life span. Eventually, the dynamic capabilities can be defined as “the firm"s ability or process to shift between exploration and exploitation significantly and quickly.” Therefore, this study measure the dynamic capabilities as an interaction between the magnitude and pace of temporal separation. This study examines the following hypotheses by using data from Korean IT firms for the 1981~2011 period. H1: The extent of dynamic capabilities have a positive effect on competitive advantages. H2: Environmental dynamism has a positive moderating effect on the relationship between the extent of dynamic capabilities and competitive advantages The results provide support for Hypothesis 1, indicating a positive effect of dynamic capabilities on the competitive advantages. In terms of moderating effects, the results also provides support for Hypothesis 2, indicating that the relationship between dynamic capabilities and competitive advantages is stronger for a higher level of environmental dynamism. This study makes several important contributions to the dynamic capability literature. first, the study provides empirical evidence of the dynamic capabilities. Although the theoretical arguments have emphasized a firm"s dynamic capabilities for achieving and maintaining competitive advantages, few studies have empirically investigated the performance implications of dynamic capabilities because of the abstractness and the difficulty of measurement. We conceptualize the dynamic capabilities by using the concepts of exploration and exploitation and provide support for the dynamic capability perspective. Second, the study calls for a contingency perspective for a better understanding of performance implications of dynamic capabilities. In spite of the importance of boundary conditions, few studies have examined the performance implications of dynamic capabilities considering a firm"s unique contexts. The results suggest a need for a good fit between a fim"s dynamic capabilities and its environmental dynamism. Overall, the study fills the gap between theoretical assumptions and empirical evidence in dynamic capability literature by examining several hypotheses based on patents and other objective data for a relatively long sample period (1981~2011). We discusses limitations and research directions for future studies.

        This paper describes the sensitivity study and case study for improving the Smooth Road Shake (SRS) performance. Smooth Road Shake performance is one of the top quality concerns that directly affect vehicle sales. It is an important factor to ensure vehicle ride performance. So, the SRS design targets need to be defined and the proposed design needs to be assessed very early in the vehicle development phase. The SRS is composed of the steering wheel and floor panel vibrations caused by tire imbalance mass. This study focuses on the steering wheel torsional vibration resulting from the fore/aft walking mode of the corner caused by imbalance mass. We performed the fundamental dynamic simulation of SRS by using ADAMS solver based on Motionview with in-house templates. We showed the dominant factor for enhancing the SRS performance and we provided design recommendation.

      • Tilt Type Steering Column의 Tilt Angle에 따른 Steering Ratio Variation에 관한 연구

        There are many vehicles produced with steering height adjustment system for customer convenience these day. The trend have moved from luxury vehicle to small vehicle as a option. In small vehicle case, If it needs same level of height change of steering wheel it could be required much steering column angle change compare to large vehicle due to package or size limitation and it cause bad effect on steering performance by steering geometry change. So even if tilt type steering column gives convenience to customer but a lot of steering column angle change makes bad results about vehicle’s handling performance target and concept that we want to make goal. This study’s purpose is finding a relation about handling performance and steering geometry change by tilt angle of steering column. First we should know steering ratio variation according to steering column angle change. And then we can study steering sensitivity change by steering ratio variation on handling side. Finally we are able to know what is previous CAE activity before making a decision for steering tilt angle with this results.

      • Exploration and Organizational Longevity: The Moderating Role of Strategy, Slack, and Environment

        This study investigates the effects of exploration and exploitation on organizational longevity. An analysis of 1981-2011 data from the Korean IT industry reveals an inverted U-shaped curvilinear relationship between the relative extent of exploratory innovation and organizational longevity. Therefore, the ambidexterity perspective that argues the importance of balancing exploration and exploitation is supported. This paper also examines the moderating effects of financial slack, strategic orientation, and environmental dynamism on the relationship between exploratory innovation and organizational longevity. The results show that financial slack and differentiation strategy moderate the exploration-longevity relation. Overall, our study calls for the contingency approach in understanding the performance implications of the exploration-exploitation balance.

        Recently car makers tend to use high-technology adopted parts because of customer’s highly increasing demand and automotive market trend. Engine mount bush works for effective power transfer & vibration reduction at the mounting point to the body. There are two type of bush. One is conventional-bush which made of rubber and the other is hydraulic-bush which consists of hydraulic fluid with rubber. Hydraulic-bush offers high quality ride comfort and advanced ride performance. But, it is more expensive than conventional-bush. Computer Aided Engineering(CAE) is significant tool which estimates vehicle’s performance in vehicle develop process because of time and money saving. This research provides introduction of DFSS(Design For Six Sigma) for robust design of each contribution bush character. based on DOE, we found effective factor, which influenced on ride comfort. Finally we suggest optimal value and validate improvement of ride comfort with Conventional Bush.

      • 토션빔 액슬 차량의 Impact hardness & Memory shake 향상을 위한 민감도 분석에 관한 연구

        This paper describes the analysis and design sensitivity study for improving ride impact performance of a vehicle with torsion beam rear suspension. The impact performance is one of the important ride metrics which causes the big customer complaints when a vehicle passes the sharp bump. The impact performance could be represented by impact hardness which is evaluated by abrupt feel from bump and memory shake which is expressed by shake after impact. The impact hardness and memory shake should be well-balanced since these generally have trade-off. This study mainly deals with the impact hardness and memory shake of a vehicle with torsion beam rear suspension. For the ride simulation, vehicle model based on multi body dynamics used the TNO Swift tire and flexibility component. Finally, this study provides design guideline to improve impact hardness and memory shake performance.

        According to high technical development about electronic suspension system, these day automobile company is willing to have electronic active shock absorber like RTD for high performance vehicles because it gives good ride quality on various road input to control damping force separately by real time but it is required complex function for validation and tuning work also it is costly so far. As a result conventional passive damper is still major suspension part for all kinds of vehicles and it will be used consistently in the future. Passive damper tuning is always one of big challenge for Ride and Handling engineer to have comfortable and solid ride. Because vehicle’s ride quality is affected a lot by passive damper tuning and it is important thing for the customer who is having their own car with satisfaction. Ride & Handling engineer need to consider damper tuning differently by vehicle’s engineering characteristics like mass, stiffness and suspension travel also the vehicle’s purposes (off road, sports, family sedan etc.) to use. This paper describes the way how to achieve effective body motion control with passive damper to take account of vehicle’s engineering characteristics and purpose.

        This paper describes the study on body flexibility effect to impact hardness & memory shake of a vehicle. The impact performance is one of the important ride metrics which causes the big customer complaints when a vehicle passes the sharp bump. The impact performance could be represented by impact hardness which is evaluated by abrupt feel from bump and memory shake which is expressed by shake after impact. Generally ride comfort analysis in CAE was performed using lumped mass model but the model does not represent frequency characteristics and mode shape of the vehicle body in response to road inputs. This study mainly deals with the vehicle model considering body flexibility for impact hardness and memory shake. For the ride simulation, a vehicle dynamics CAE model was built based on ADAMS MBD model with TNO swift tire and flexibility body. Finally, this study provides design guideline to improve fidelity of vehicle model for impact hardness and memory shake performance.
