산업기술보호법상 국가핵심기술의 수출 및 해외인수ㆍ합병 제한에 관한 행정법적 고찰

산업기술의 보호와 관련한 대표적인 법률인 「산업기술보호법」은 국가핵심기술을 보호하기 위하여 침해행위를 금지 및 처벌하고 있다. 또한 기술침해 수법이 갈수록 지능화됨에 따라 합법적인 경로를 통한 기술유출을 차단하기 위해 수출 및 해외인수·합병 시 승인을 얻거나 사전에 신고하도록 하고 있다. 나아가 공익상 필요한 경우 수출 및 해외인수·합병에 대하여 조치명령을 내릴 수 있다. 수출 및 해외인수·합병에 대한 제한은 국가안보 및 경제적 측면에서 필수불가결한 조치이지만, 이는 동시에 국가핵심기술 보유기관에게 침해적인 처분이 될 수 있으므로 그 절차적 타당성을 보장하고 직접적인 피해가 발생할 경우 적절한 법적 구제방안을 마련하는 것이 필요하다. 수출승인 대상을 광범위하게 규정하는 것은 사실상 대부분의 기술 활용을 사전에 검토하겠다는 것이어서 국가핵심기술 보유기관이 해당 기술을 활용하는 데 오히려 제약이 될 수 있다. 무엇보다 수출승인 대상이 원칙적으로 대외적 효력이 없는 행정규칙의 형식으로 규정되어 있는 것은 입법형식의 불일치에 해당하므로 법규명령의 형식인 시행규칙에 직접 규정하는 것이 마땅하다. 뿐만 아니라 국가핵심기술 보유기관의 의견을 청취하는 절차가 임의규정 형식으로 되어 있는 점과 의견청취의 주체가 산업기술보호 위원회인 점은 해당 절차의 법적 구속력을 약화시켜 권리구제를 어렵게 하므로 의견청취 절차를 강행규정화하고 그 주체를 산업통상자원부장관으로 개정하는 것이 바람직하다. 또한 행정청이 국가핵심기술의 수출 및 해외인수·합병 승인신청을 거부하거나 신고를 수리하지 않을 경우 해당 기업의 경영악화 등 불이익을 초래할 수 있다. 그리고 조치명령으로 이미 형성된 권리관계를 번복할 경우, 상대기업에 위약금을 지불하거나 손해배상을 해야 하는 상황이 발생할 수도 있다. 이와 같은 승인 거부처분, 신고수리 거부처분, 침해적인 조치명령은 모두 행정행위 성격상 처분성이 인정되는 것으로서 이러한 행정처분이 있을 경우 국가핵심기술 보유기관은 행정처분에 대한 취소소송을 통하여 권리를 구제받을 수 있어야 할 것이다. Restrictions on exports, acquisitions and mergers are necessary in terms of national security and economy, but it is necessary to ensure procedural justice and prepare appropriate legal remedies in the event of direct damage. The broad definition of export approval targets is that most of the technologies will be reviewed in advance, which can be restricted from the use of the technologies by the state's core technology holders. Above all, the fact that export approval targets are defined in principle in the form of administrative rules with no external effect may violate Non-blanket-delegation Principle, so it is appropriate to directly stipulate the enforcement rules in the form of legal orders. In addition, it is not desirable that the procedures for listening to the opinions of the national core technology holders are in the form of arbitrary regulations and that the Industrial Technology Protection Committee is the main body of listening to opinions. This is because it weakens the legal binding power of the procedure, making it difficult to remedy rights. Consequently, It is desirable to change the listening process to Mandatory Provisions and amend the subject of listening to opinions to the Minister of Trade, Industry and Energy for the purpose of ensuring the protection of rights. Furthermore, unlike overseas mergers and acquisitions, not deliberating on losses only in the case of export sanctions has no good reason to admit this difference, so losses on export sanctions should be deliberated. In addition, if the administrative office refuses to apply for approval of export, overseas acquisition or merger, or fails to accept the report, it may result in disadvantages such as deterioration of the management of the relevant company. And, reversing the rights relationship that has already been formed by an action order may result in the need to pay penalty or compensate for damages to the other party. The rejection of approval, failure to report, and infringement orders are all recognized for their binding force, and in the event of such administrative disposition, the national core technology holder may seek a cancellation suit for administrative disposition and seek damage relief.
