사외이사제도 도입은 회계투명성을 확보할 목적으로 도입되었다. 그러나 우리나라의 기업은 지배구조가 소유와 경영이 분리되어 있지 않고 소유주집중정도가 높아 사외이사제도의 실효성이 떨어진다는 의견도 있다. 본 연구는 2007년의 표본 115개 기업자료를 이용하여 이사회의 독립성과 사외이사의 활동성을 중심으로 경영자가 이익조정에 어떠한 영향을 미치는지 분석하였다. 이사회의 독립성은 이 사회의 사외이사 비율로 측정하고 사외이사의 활동성은 사외이사의 이사회 참석율을 이용하였다. 또한 이익조정의 측정치는 수정된 Jones model을 이용하여 재량적 발생액(DA)을 추정하였다. 본 연구의 (가설1)은 이사회의 사외이사의 비율은 재량적발생액과 부(-)의 관계에 있다. (가설2)는 사외이사의 이사회참석율은 재량적발생액과 부(-)의 관계에 있다. 로 가설을 설정하였다. 실증분석 한 결과(가설1)은 사외이사 비율과 재량적 발생의 관계는 가설과 달리 정(+)의 관계를 보이며 유의하지 않아 기각되었다. (가설2)은 사외이사 참석율과 재량적 발생액은 가설과 마찬가지로 회귀계수가 부(-)의 관계를 보이고 5% 수준의 유의하므로 채택되었다. The purpose of this research is an demonstrated analysis of outside director system, which was adopted for improvement of Corporate Governance Framework with manager s earnings management. Samples were selected arbitrary 92 enterprises which choose random among 650 enterprises, recorded data by Corporate Governance Service Center that listed to the stock market in 2006 to sample enterprise. In Variable selection, the ratio of outside directors and Board attendance ratio of outside director represent independent variable and discretionary accruals(DA) from Adjusted Jones model represent dependent variable. 〈Hypotheses 1〉 The ratio of outside directors in board is negative relations with discretionary accruals(DA). 〈Hypotheses 2〉 Board attendance ratio of outside director is negative relations with discretionary accruals(DA). As a result of demonstrated analysis, 〈Hypotheses 1〉 was supported however is limited, but 〈Hypotheses 2〉.
