우리나라는 1997년 후반부터 시작된 외환위기이후 새로운 금융환경에 직면하여, 다른 국가들에서 활용되고 있는 證券化制度(asset securitization)의 必要性이 제기되었고, 이를 위해 1998년 11월에 관련법률을 제정함으로써 資産流動化制度를 도입하였다. 제도도입과 함께 제정된 「資産流動化에관한法律」이 資産擔保附證券(asset-backed security)뿐만 아니라 住宅抵當債權擔保附證券(mortgage-backed security)의 發行에 관한 사항들을 규율하지만, 추가적으로 1999년 1월에 住宅抵當 債權流動化會社法을 제정하였다.
'證券化(Securitization)'라는 개념은 자금수요자가 은행을 이용하지 않고 금융시장에서 기업어음이나 채권을 발행하여 직접자금을 조달하는 광의의 증권화와 금융기관이 보유하고 있는 대출채권매각(loan sales)방식으로서 이루어지는 대출참가, 대출채권양도, 대출의 경개 및 대출채권증권화 등을 통한 자금도달을 의미하는 협의의 증권화로 구분된다. 우리가 도입한 資産流動化制度는 협의의 증권화개념처럼 대출채권양도 등의 자산의 직접매각을 포함하기도 하지만 일반적으로 양도되는 자산을 資産擔保附證券(ABS) 등의 형태로 가공하여 불특정 多數의 投資者에게 간접적으로 매각함으로써 有價證券性을 부여한다는 의미에서 보다 협의의 증권화로서 이해되어야 할 것이다.
이처럼 證券化라고도 일컬어지는 資産流動化는 보다 구체적으로 대출채권 또는 금융채권, 부동산 등 비유동성자산(Illiguid Asset)을 집합화(Pooling)하여, 그 자산을 기초로 증권을 발행하고 이를 통하여 자본시장에서 자금을 조달하는 일련의 과정을 의미한다. 그리고 이와같은 유동화과정을 통해 발행되는 資産擔保附證券(Asset-backed securities ; ABS)은 1차저당채권을 포함하여 모든 종류의 자산집합(pool of asset)에 의하여 담보되는 증권을 의미하기도 하지만, 일반적으로 1차저 당채권의 집합에 의하여 담보되는 증권을 의미하는 주택저당담보부증권(Mortgage-backed security; MBS)과 구분하여, 2차저당채권과 2순위저당채권을 포함한 기타 자산의 집합에 의하여 담보되는 증권을 의미한다.
이러한 資産擔保附證券은 유동화대상자산의 성질, 만기 및 현금흐름의 귀속, 자산 및 발생하는 현금흐름의 구조 등이 핵심적인 요소를 이룬다. 그리고 이러한 이러한 자산담보부증권을 발행하는 특별목적기구는 상법상 유한회사이어야 하고, 다만 자산유동화법에서는 이에 대한 예외를 두고 있다.
1998년 9월에 제정한 資産流動化에관한法律이 규율하는 자산유동화의 범위는 이러한 資産擔保附證券(ABS)과 住宅抵當債權擔保附證券(MBS)을 포함하고, 특별히 MBS발행 및 MBS를 발행하는 특별목적기구에 관한 사항들은 住宅抵當債權流動化會社法의 적용을 받는다. 다만 資産流動化에관한法律에 따른 특별목적기구(유동화전문회사)는 유동화대상자산을 담보로 증권을 발행하게 되고 또한 住宅抵當債權流動化會社法은 擔保附社債信託法(Secured Bond Trust Act)에 의한 증권의 발행을 예정하고 있는데, 이러한 擔保附社債는 資産擔保附證券과 여러면에서 차이가 있다는 점에 주의하여야 한다. 우리나라는 담보부사채의 발행과 관련하여 담보부사채신탁법을 1962년에 제정하였는데, 주로 국내투자자를 대상으로 한 원화표시채권의 발행을 목적으로 하고, 담보가능한 자산은 동산, 부동산, 주식, 채권으로 제한되어 있다. 따라서 달러표시채권의 발행과 같은 해외매각의 경우에 담보부사채신탁법의 전부 또는 일부조항의 적용여부가 문제될 수 있다. 또한 資産流動化에관한 法律은 유동화가 가능한 자산에 관한 제한규정이 없기 때문에, 미국의 경우처럼 이론상으로는 지적재산권 등을 대상으로 한 자산유동화도 가능한데, 이 경우 담보부사채신탁법에 따라 자산의 범위를 한정적으로 해석한다면 열거된 자산이외의 기타 자산을 대상으로 한 유동화의 가능성이 문제될 수 있다. 擔保附社債信託法의 적용을 받는 증권의 범위와 관련된 판례는 존재하지 않지만, 담보부사채와 자산담보부증권의 구조 및 현금흐름 등의 차이점을 고려하건데 資産流動化에관한法律에 따른 증권의 발행이 가능하다고 보아야 할 것이다.
또한 住宅抵當債權擔保附證券과 관련하여, 우리나라의 민법이 등기의 公信力을 인정하지 않음과 동시에 流通抵當을 인정하지 않고 있다는 점에 유의하여 법률을 검토하여야 한다. 민법 제361조는 피담보채권과 분리하여 저당권만을 양도하지 못한다고 규정하고 있고, 따라서 주택저당채권유동화회사법을 이에 대한 특별법으로 볼 수 있는가의 여부를 우선적으로 검토하여야 하고, 이와함께 담보부사채신탁법과의 관련성을 검토하여야 한다.
이러한 법률들은 資産流動化의 간소화 등을 위해 마련된 것으로서 지원법적 성격을 지니며, 따라서 유동화전문회사의 설립등과 같은 법정절차를 따르지 않고서 기존의 법체계에 따른 資産流動化도 가능하지만, 이러한 법률의 절차를 구비하는 경우에는 세제상, 절차상의 측면에서 많은 혜택이 부여된다. 국회는 자산유동화법의 적용을 받는 증권에 세제상의 혜택을 부여하기 위하여 조세감면규제법을 개정하였고, 또한 資産流動化에관한法律은 證券去來法, 商法, 民法에 관한 特例事項들을 규정하고 있다.
이처럼 우리나라는 미국의 경우와는 달리 투자자에게 증권을 발행함에 있어서 證券法외에도 流動化計劃의 登錄 및 流動化資産의 讓渡에 관한 규정들을 두고 있다. 이것은 제도도입초기에서 발생할 수 있는 법률적 문제들을 해결하기 위하여 입법적으로 해결하고 있는 것으로 볼 수 있다.
資産擔保附證券 및 住宅抵當債權擔保附證券을 발행하기 위한 이러한 유동화 과정은 준비절차, 발행과정상의 절차, 사후관리의 세부분으로 구분할 수 있는데, 우리가 살펴본 법적인 문제는 주로 流動化計劃의 登錄으로부터 투자자에 대한 證券의 發行까지의 발행과정과 관련되는 法的問題와 破産과 관련된 事後管理의 問題에 집중되어 있다. 특히 破産과 관련하여서는, 資産保有者로부터 특별목적기구로의 資産移轉이 진정한 賣買로서 간주될 수 있어야 하고, 이것은 資産保有者나 資産管理者의 破産으로부터 資産이 영향을 받지 않는다는 것을 의미한다.
자산유동화에관한법률 제13조는 진정한 매매의 요건을 명시하고 있는데, 진정한 매매로 인정되기 위해서는 ① 매매계약에 의할 것, ② 유동화자산에 대한 수익권 및 처분권은 양수인이 가질 것(다만, 양수인이 당해 자산을 처분하는 경우 양도인이 이를 우선적으로 매수할 수 있는 권리를 가지는 경우를 제외한다), ③ 양도인은 유동화자산에 대한 반환청구권을 가지지 아니하고, 양수인은 유동화자산에 대한 대가의 반환청구권을 가지지 아니할 것, ④ 양수인이 양도된 자산에 관한 위험을 인수할 것(다만, 당해 유동화자산에 대하여 양도인이 일정기간 그 위험을 부담하거나 하자담보책임(채권의 양도인이 채무자의 자력을 담보한 경우에는 이를 포함한다)을 지는 경우에는 그러하지 아니하다)의 요건을 갖추어야 한다.
기업은 은행을 통해 간접적으로 자금을 조달함과 동시에 채권이나 주식의 발행을 통해 직접적으로 자금을 조달한다. 資産流動化는 이러한 수단에 부가하여 새로운 자금조달수단을 제공하고, 이를 통해 부분적으로 채권자평등의 원칙을 배제할 수 있다. 뿐만 아니라 은행의 경우에는 대출채권이 가지는 위험을 관리할 수 있는 수단으로서의 역할도 한다. 다만 은행의 경우에는 유동화대상자산이 만기나 구조가 유사한 채권의 집합(pool)으로서 구성되어야 하기 때문에 어려움이 존재한다.
마지막으로 IMF과정을 거치면서 발생한 부실채권의 처리를 주된 목적으로 자산유동화 관련입법이 도입되었기 때문에 이를 부실채권처리만을 위한 제도로서 오해할 소지가 있는데, 기본적으로 「資産流動化에관한法律」의 목적에서 밝힌바와 같이 자금조달수단의 다양화와 현금흐름의 확보를 통한 경쟁력 강화에 중점을 두고 있다는 점을 분명히 인식하여야 할 것이다.

Korea came to realize the importance of securitization, only upon facing financial difficulties after the foreign exchange crisis erupted in late 1997, and then introduced asset-backed securitization by adopting special legislation on September 2, 1998. The Act on Asset-backed Securitization regulates Mortgage-backed Securities (MBS) as well as Asset-backed Securities (ABS). In addition to the Act, the National Assembly passed the Mortgage-backed Securitization Company Act on January 1, 1999.
Securitization means, in a broader sense, the process where a person raises pools of capital by issuing commercial papers or bonds in financial markets, as opposed to borrowing money from banks. In a narrowly-defined way, meanwhile, it indicates loan sales, including loan participation, loan assignment, novation and loan securritization. The asset-backed securitization system in Korea covers direct asset sales including loan assignment; however, it is still closer to a narrow sense of securitization in that general assets are securitized through structured means including asset-backed security so that they can be sold to a plural number of investors.
Securitization, once again, means the process where illiquid assets, such as loans and real estates, are pooled and then securities are issued based on them to mobilize capital from capital markets. Mortgage-backed securities, in particular, are securities backed by a pool of first mortgage loans. In the meantime, asset-backed securities mean securities backed by any other type of asset, including second mortgage loans, than first mortgage loans.
The essential characteristics of asset-backed securities are defined by: (i) the nature and quality of the underlying assets; (ii) the timing of receipt of cash flows from those assets; and (iii) the structure for distributing those cash flows to the securities holders. And the Special Purpose Vehicle issuing asset-backed security must be a limited liability company under the Commercial Code, but the Asset Securitization Act provides exemptions from certain provisions of the Commercial Code applicable to a limited liability company. This company is similar to a corporation in that its equity holders' liabilities are limited to its equity interest but is intended as a small company and is similar to a closed corporation in the U.S.
The scope of securitization, as prescribed in the Act on Asset-backed Securities (September 2, 1998), covers both asset-backed securitization and mortgage-backed securitization. In particular, the rules on the issuance of MBS and Special Purpose Vehicles (SPV) that specifically deal with issuing MBS are governed by the Mortgage-backed Securitization Company Act. Plus, the Mortgage-backed Securitization Company Act opened the way for securities issuance based on the Secured Bond Trust Act. But It should be noted that secured bonds differ from asset-backed securities in many aspects. There is another aspect that should be taken into account concerning mortgage-backed securities: Civil Laws have yet to recognize the legally-binding authority of mortgage registration, and the mortgage separated from secured asset should not be transfered in Article 361 of Civil Code. Therefore, a need has arisen for revising relevant laws.
The Secured Bond Trust Act enacted in 1962 was designed primarily for the issuance by Korean companies of secured bonds denominated in Korean Won for domestic investor. Therefore it's not entirely clear whether the foreign currency- denominated securities issued by a Korean Special Purpose Company in a securitization transaction, if they are to be secured by the securitization assets, should be subject to the Secured Bond Trust Act.
Under the Secured Bond Trust Act only certain specified types of assets and security interest are permitted, and the assets that are eligible for collateral for secured bonds are limited to (a) movables (including inventories), (b) claims evidenced by instruments (such as deposits with banks evidenced by passbook), (c) equity securities, and (d) real properties. Therefore there are differences in the scope of securities because there is no rule specifies types of assets and security interest under the Asset Securitization Act. For example, Pledge of intellectual properties and claims which are not evidenced by instruments are not permitted under the Secured Bond Trust Act. This means that even if all types of assets held by the originators are eligible for securitization under the Asset Securitization Act, if the securities are to be secured, the pool of assets that may be used as collateral under the Secured Bond Trust Act may be limited to the assets.
All of the above-mentioned laws are geared towards "helping" simplify the procedures for securitization. Therefore, it's not mandatory to establish a firm(SPC) specially designed for securitization. You can still securitize your assets in accordance with other old legal frameworks. Still, such a firm, once set up, is entitled to tax and procedural benefits. The National Assembly revised Tax Exemption and Reduction Control Law in favor of firms that perform securitization according to the Act on Asset-backed Securities so that they can be granted tax incentives. Not only that, the Act contains a number of special clauses that override conflicting clauses included in Securities Exchange Act, Commercial Code and Civil Code.
In contrast to the U.S., Korea legally regulates the public registration of securitization plans and the transfer of asset-backed securities as well, which is deemed to be an legislative effort to stave off various possible legal problems that are expected to arise at the burgeoning stage of implementation.
The procedures for issuing asset-backed and mortgage-backed securities can be divided into three categories: (i) preparation; (ii) issuance; and (iii) post-issuance management. This paper, however, mainly focused on legal aspects of the preparation stage, including the registration of securitization plans and securities issuance, and of post-issuance management also covering bankruptcy procedure. Here, in terms of bankruptcy, it should be highlighted that the transfer of assets from the Originator to Special Purpose Vehicle (SPV) must be a "true sale," where the assets are removed from the bankruptcy estates of the Originator or the Servicer.
The act provides that transfer of securitization asset must satisfy certain conditions in which case such transfer will be deemed to have been a true sale (rather than the grant of a security interest). The conditions are as follows : (a) The transfer must be made pursuant to a sale and purchase contract, (b) The transferee must have the right to profits with respect to, and the right to dispose of, the securitization asset, except in case the transfer has the right of first refusal when the transferee disposes of the relevant asset, (c) The transferor shall not have any right to demand the return of the securitization assets and transferee shall not have any right of reimbursement with respect to the consideration for the securitization, and (d) The transferee shall bear the risk with respect to the transferred assets, except in case the tranferor of the relevant securitization assets bears the risk for a certain period of time or provides warranties for defect (including the warranty by the transferor of claims for financial ability of the obligers).
Corporations can mobilize capital in a direct manner by issuing stocks and bonds as well as indirectly (i.e. from banks). Asset-backed securitization adds another source for capital mobilization and, thus, partially helps preclude the principle of creditors' equality. Besides, it also serves as a means for banks to manage risks posed by loan sales. Banks, however, are often limited in their activities because securitized capital has to be composed of pools of bonds that are similar to each other in terms of maturity and other structural aspects.
The Act on Asset-backed securitization, when first implemented, was mostly aimed at liquidating the financial crisis-induced non-performing bonds, leaving many mistaken as if it were the sole purpose. It should be noted, however, as explained in the chapter that deals with the purpose of the law, rather focuses on strengthening the overall competitiveness of the Korean economy by diversifying means for capital mobilization and securing adequate capital flow.
