본 연구는 환경법적 관점에서 기후변화 문제를 분석하고, 환경법의 핵심 원칙인 지속가능발전의 원칙을 중심으로 기후변화 대응을 위한 지속가능발전목표 및 지속가능금융의 발전 과정을 고찰하였다. 특히 지속가능금융의 핵심 구성요소인 지속가능성 공시 제도에 주목하여, 주요 국가의 제도와 우리나라의 관련 법제 현황을 검토하고, 이를 토대로 지속가능성 공시 제도의 발전 방향과 구체적 실행 수단을 제시하였다.
본 연구는 하트(H.L.A. Hart)의 개념분석 방법론을 적용하여 환경법을 ‘환경문제에 대한 법적 대응’으로 정의하고, 그 목적이 지속가능한 환경보전을 통하여 국민의 건강하고 쾌적한 삶을 보장하는 데 있음을 규명하였다. 또한 환경법의 발전 과정에서 지속가능발전의 원칙이 핵심 이념으로 자리 잡았으며, 이것이 유엔 지속가능발전목표(SDGs) 및 국가지속가능발전목표(K-SDGs)의 수립, 지속가능금융의 태동, 그리고 그 실현 수단으로서 녹색분류체계, 녹색채권, 지속가능성 공시 제도의 발전으로 이어졌음을 논증하였다.
본 연구는 해외 지속가능성 공시 제도 분석을 통하여, 유럽연합(EU)이 기업지속가능성보고지침(CSRD), 유럽지속가능성보고기준(ESRS), EU 지속가능금융공시규정(SFDR) 등을 통하여 지속가능성 공시 제도를 선도하고 있으나 최근 규제 완화 추세에 있음을 확인하였다. 미국의 경우 증권거래위원회(SEC)의 기후공시규칙, 캘리포니아주의 기후기업데이터책임법(SB253), 기후관련재무위험법(SB261), 자발적탄소시장공시법(VCMDA)을 제정하였으나, 소송 등으로 SEC 기후공시규칙 및 기후관련재무위험법은 시행 여부 및 시기가 불확실함을 확인하였다. 일본의 경우에는 기업 내용 등의 공시에 관한 내각부령 개정을 통해 기후공시를 본격화하고 있음을 확인하였다. 반면 우리나라는 아직 이에 상응하는 지속가능성 공시 제도는 존재하지 않고, 자본시장법, 탄소중립기본법, 환경기술산업지원법 등 개별 법률을 통하여 관련 공시제도가 부분적으로 운영되고 있으며, 최근 국회에서 자본시장법 개정안이 다수 발의되는 등 입법화 논의가 진행 중임을 확인하였다.
이를 토대로 본 연구는 기후변화가 갖는 리스크의 불확실성과 복합성, 물리적 리스크의 실재성과 심각성, 그리고 피해의 연쇄적 파급효과라는 특수성으로 인해 기존의 명령·통제적 규제나 사후적 구제 법리만으로는 대응에 한계가 있음을 확인하였다. 이에 환경법 원칙들을 통하여 새로운 기후변화 대응 방향을 모색한 결과, 해당 원칙들이 기업의 능동적인 리스크 관리와 투명한 정보 공개를 강력하게 요청하고 있음을 규명하고, 그 실천적 수단으로서 ‘지속가능성 정보 공시’의 도입을 제안하였다.
본 연구는 공시의 목적을 지속가능금융을 통한 외부효과의 내부화로 설정하고, 제도의 조기 정착과 실효성 확보를 위해 투자자의 의사결정에 중대한 영향을 미치는 ‘재무적으로 중요한 기후 관련 정보(Single Materiality)’를 공시 대상으로 삼을 것을 주장하였다. 또한 입법 형식에 있어서는 자본시장법상 공시제도를 주된 수단으로, 환경기술산업법상 환경정보 공개제도를 보조적 수단으로 활용하는 ‘복수(複數) 환경법 체계’의 조화로운 운용 방안을 제시하였다.
다만, 본 연구는 지속가능성 공시 제도가 전 세계적으로 형성 초기 단계에 있고 각국의 정치·경제적 역학관계에 따라 유동적으로 변화하는 과도기적 상황인 탓에, 확정된 정책을 전제로 한 심층적인 법적 검토나 체계적인 실증 분석을 수행하는 데에는 현실적인 제약이 따랐다. 이에 향후 우리나라의 지속가능성 공시 제도 도입 방식과 내용이 구체적으로 확정된다면, 후속 연구를 통해 동 제도의 법적 성격을 규명하고 그 효과에 대한 실증적 분석이 이어져야 할 것이다.

This study analyzes the issue of climate change from an environmental law perspective and examines the development of Sustainable Development Goals (SDGs) and sustainable finance for climate change response, focusing on the principle of sustainable development, a core principle of environmental law. In particular, this study focuses on the sustainability disclosure regime, a key component of sustainable finance, by reviewing the systems of major nations and the current status of related legislation in Korea. Based on this review, the study suggests directions for development and specific implementation means for a Korean sustainability disclosure regime.
Applying H.L.A. Hart’s conceptual analysis methodology, this study defines environmental law as “legal response to environmental problems” and clarifies that its purpose is to guarantee citizens’ healthy and pleasant lives through sustainable environmental conservation. Furthermore, the study argues that the principle of sustainable development has established itself as a core tenet in the evolution of environmental law. It demonstrates that this principle has led to the establishment of the UN SDGs and K-SDGs, the emergence of sustainable finance, and the development of Green Taxonomies, Green Bonds, and sustainability disclosure regimes as means of realization.
Through an analysis of overseas sustainability disclosure regimes, this study confirms that the European Union (EU) has led the field through the Corporate Sustainability Reporting Directive (CSRD), European Sustainability Reporting Standards (ESRS), and the Sustainable Finance Disclosure Regulation (SFDR), although a recent trend toward regulatory easing is noted. In the United States, while the Securities and Exchange Commission (SEC) has adopted the Climate-Related Disclosure Rule and California has enacted the Climate Corporate Data Accountability Act (SB 253), Climate-Related Financial Risk Act (SB 261), and Voluntary Carbon Market Disclosures Act (VCMDA), the implementation and timing of these measures remain uncertain due to litigation. Japan is confirming the full-scale implementation of climate disclosure through amendments to Cabinet Office Ordinance on Disclosure of Corporate Information, etc. Conversely, Korea currently lacks a corresponding sustainability disclosure regime, operating partial disclosure systems through individual laws such as the Capital Markets Act, the Framework Act on Carbon Neutrality, and the Environmental Technology and Industry Support Act. However, the study notes that legislative discussions are underway, with multiple amendments to the Capital Markets Act recently proposed in the National Assembly.
Based on this analysis, the study confirms that traditional command-and-control regulations or ex-post remedial legal principles have limitations in responding to climate change due to its specific characteristics: uncertainty and complexity of risks, the reality and severity of physical risks, and cascading ripple effects of damage. Consequently, by seeking new directions for climate change response through environmental law principles, the study identifies that these principles strongly demand active risk management and transparent information disclosure from corporations, and proposes the introduction of ‘sustainability information disclosure’ as a practical tool.
The study defines the purpose of disclosure as the internalization of externalities through sustainable finance. To ensure the early settlement and effectiveness of the regime, it advocates for limiting the scope of disclosure to ‘financially material climate-related information (Single Materiality)’ that significantly impacts investor decision-making. Regarding the legislative form, the study proposes a harmonious operation of a ‘plural environmental law system,’ utilizing the disclosure regime under the Capital Markets Act as the primary means and the environmental information disclosure system under the Environmental Technology and Industry Support Act as a supplementary means.
However, this study faces limitations as sustainability disclosure is still in a nascent stage globally and remains in a transitional state influenced by the political and economic dynamics of each country. Consequently, there were practical constraints in conducting in-depth legal reviews or systematic empirical analyses based on fixed policies. Therefore, once the method and content of introducing Korea’s sustainability disclosure regime are concretely finalized, future research should clarify the legal nature of the system and conduct empirical analyses of its effects.
