(1) 우리 민법상 전형계약 중 조합에 관하여는 명확하게 정리되지 않은 쟁점이 적지 않다. 이러한 쟁점들에 관하여 判例群이 형성되기도 하고, 학설이 해결책을 모색하기도 한다. 그러나 그 방안들은 어떠한 일반적인 기준이나 방향을 충분히 제시해주지 못하는 것으로 생각된다.
한편, 2000년대에 들어서 독일, 프랑스, 일본 등에서 민법을 개정하였는데, 독일과 일본에서는 조합법에 관한 대폭적인 개정이 포함되었다. 이러한 상황에서 다시금 우리 민법상 조합에 관한 관심이 커지고, 독일 민법을 채택한 방향이 우리 조합법이 나아갈 길로 제시되기도 하는 것으로 보인다. 이에 조합이 가지는 전모를 살펴볼 필요가 있다. 첫 단계로 통시적으로 조합의 형성과 발전 과정을 살펴봐야 한다. 다음으로, 공시적으로 우리 법체계상 조합의 역할 등 보다 넓은 시야에서 바라본 조합이 연구되어야 한다고 본다. 연구의 대상으로 삼는 것은 민법상 조합이다. 민법상 조합을 주된 연구의 대상으로 삼고 필요한 경우 다른 제도들도 아울러 살펴보기로 한다.
(2) 구체적으로는 우리 민법상 조합의 원형이라고 할 수 있는 로마법상의 조합(societas)을 살펴본다. 로마 만민법상의 제도인 조합은 계약으로 결성되어 사업을 처리하기 위한 동업형태이다. 다음으로 로마법 이후 법전 편찬에 이르기까지의 발전상을 보면, 주로 중세 상사제도가 조합의 발전에 영향을 미친 것을 확인할 수 있다. 조합제도는 1804년 프랑스 제정 민법의 회사 개념에 포함되었는데, 비교적 이른 시기에 상당한 변화를 겪어 판례와 입법으로 법인격이 긍정되었다. 다만, 프랑스 민법은 여전히 익명회사를 규율하고 있다. 독일의 경우 제2초안을 바탕으로 제정되었고 그 해석에 여러 논의가 있었으나, 최근 조합법에 관한 대폭적인 개정을 통해 권리능력있는 조합과 권리능력없는 조합을 나누어 정하고 있다. 일본 역시 최근 개정에 조합을 포함하고 있어 그 내용과 논의과정 등을 살펴보기로 한다. 일본 민법상 조합은 계약법에 규정되어 있지만, 공동의 사업을 수행하기 위한 단체로서, 법인격, 권리능력, 그리고 소송상 당사자능력을 가지지 못한다고 보는 것이 종래의 통설인바, 2017년 개정에서도 조합에 관한 기존의 태도를 근본적으로 변경하거나 개별적으로 새로운 법리를 도입하지 아니하고, 기존에 판례 및 학설에 의하여 정리된 내용을 반영하였다. 대륙법계 조합에 비견되는 제도로 영미에는 파트너십이 있는데, 영국의 파트너십은 특별법적 제도를 통해서 실무적인 요구에 대응하면서 입법적인 변화는 꾀하지 않았고, 미국에서는 법 개정을 통해 집합설에서 단체설로 무게중심이 이전되었다. 이러한 변화에서, 조합이 계약성을 바탕으로 단체성으로 보완되고, 상사적 제도와 영향을 주고받으면서 발전해 온 것을 알 수 있다. 다만, 여전히 기본적 형태의 조합이 존재하지 않을 수 없어 조합의 단체성을 강조하는 입법을 한 경우에도 원형적인 모습을 가진 조합이 여전히 규율되어 있다는 것은 주목할 만하다.
(3) 우리 민법상 조합도 계약성을 바탕으로 단체성이 가미된 것으로 이해된다. 조합의 단체성을 인정하더라도 전형계약의 일종인 조합은 독립한 실체로서의 단체에 이른다고 볼 수 없다. 조합이 권리의무의 귀속주체가 될 수 없으므로, 조합은 스스로 물건을 소유할 수 없어 조합원 전원이 그들의 명의로 소유하게 되는데, 이러한 조합 특유의 소유관계의 구체적인 내용은 여전히 계약으로 정할 수 있도록 규정되어 있다. 조합재산의 처분과 조합 부동산의 등기에 관하여도 이러한 관점이 유지되어야 하는바, 조합계약으로 조합목적에 부합하는 일정한 필요에 따라 조합원 1인 명의로 등기를 하는 경우 그 계약 내용이 우선적으로 법률관계의 성격을 규율한다고 보아야 할 것으로 생각된다.
한편, 조합의 제3자와의 법률행위를 조합 스스로 행할 수 없으므로, 대리를 통해서 대외업무를 수행하게 되고, 조합채무는 조합재산으로 책임을 지지만 조합원의 고유재산으로도 책임을 질 수 있다. 조합원의 무한책임은 조합제도의 필수적 요소로서, 조합으로 평가되는 이상 조합원들 사이의 계약으로 배제할 수 없어 조합원들에게 상당한 부담으로 작동할 수 있다. 이를 제한하기 위해서는 상법상 합명회사, 합자회사, 합자조합 등 제도의 활용이 고려될 수 있고 해석론으로 조합의 개념 요소를 분석하여 사후적으로 구체적 타당성을 모색하는 방법도 가능해 보인다. 조합의 대외관계에 관하여 일시적 조합으로 이해되는 최근의 건설공사공동수급체에 관한 판례들도 주목할 만하다.
조합원의 탈퇴로 조합의 구성에는 변동이 생기더라도 조합은 그대로 존속하게 되는데, 이는 단체로서의 조합을 인정하는 전제에 있기 때문이다. 다만 여전히 복수의 당사자가 계약을 통하여 결성하는 조합의 개념과 기본요건에 비추어 보면, 1인조합은 결성도 불가능하고, 후발적으로도 생길 수 없다고 본다.
이러한 논의는 저촉법적으로도 대입될 수 있다. 우리 민법상 조합의 경우 계약성을 바탕으로 국제재판관할이나 준거법이 정하여져야 한다. 물론 외국의 조합이나 유사단체의 경우 성질결정이 필요하다.
(4) 이상에서 살펴본 바와 같이 조합이 가지는 계약적 성격을 바탕으로 구체적인 쟁점에서 합리적인 결론을 모색하는 것이 가능하다. 나아가 실무의 상황을 보았을 때 우리 경제사회에서 영업주체로서의 계속적 조합의 지위가 전면적으로 재검토되어야 할 시급한 이유는 찾기 어렵다. 물론 공감대가 형성된다면, 입법을 통해서 우리 민법상 조합의 모습을 변경시키는 것은 가능하다. 이러한 과정에서는 ① 민법상 조합의 기능, ② 다른 법제도와의 관계, ③ 원형적 조합의 이해, ④ 조합원 의사의 반영 가능성 등을 고려하여 일부의 규정만을 개정함으로써 조합법 체계를 정비할 수 있다고 본다.

(1) There remain numerous unresolved issues regarding partnerships(associations) as a nominate contract under the Korean Civil Code. In addressing these issues, groups of judicial precedents have emerged, and scholarly theories have sought possible solutions. However, these approaches seem insufficient to provide any general standards or clear directions. Meanwhile, since the 2000s, civil codes have been revised in countries such as Germany, France, and Japan, with Germany and Japan introducing substantial amendments to their laws on partnerships. Against this backdrop, renewed attention has been drawn to partnerships under the Korean Civil Code, and it appears that directions inspired by the German Civil Code are being suggested as a possible path for the development of Korean law on partnerships. Accordingly, it is necessary to examine the overall structure of partnerships. As a first step, their formation and historical development should be considered diachronically. Next, partnerships should be studied from a broader perspective, including their role within our legal system. The primary subject of this study is partnerships under the Korean Civil Code, while other legal institutions will be examined as necessary.
(2) Specifically, this study first examines the Roman-law concept of societas, which can be regarded as the prototype of partnerships under the Korean Civil Code. Under Roman ius gentium, societas was a form of partnership established by contract for the purpose of conducting business. Next, in tracing its development from Roman law to the codification of modern civil law, it becomes evident that medieval commercial institutions played a significant role in shaping the evolution of partnerships.
The institution of partnership was incorporated into the concept of company in the French Civil Code of 1804, but it underwent significant changes at a relatively early stage, with legal personality being recognized through case law and legislation. Nevertheless, the French Civil Code still regulates anonymous companies. In Germany, the provisions on partnerships were enacted based on the second draft of the Civil Code, and although various interpretative debates arose, recent extensive amendments to the law on partnerships have introduced a distinction between partnerships with legal capacity and those without. Japan has likewise included partnerships in its recent revisions, and this study will examine their content and legislative process. Under the Japanese Civil Code, partnerships are regulated within the law of contracts; however, they have traditionally been understood—according to prevailing scholarly opinion—not to possess legal personality, legal capacity, or standing as parties in litigation. The 2017 revision did not fundamentally alter this approach or introduce new doctrines individually; rather, it reflected principles previously established by case law and scholarly theories. Partnerships exist also in the Anglo-American legal tradition, as comparable to the system under continental law. In England, partnerships have responded to practical needs through special statutory schemes without pursuing legislative changes, whereas in the United States, legal reforms have shifted the prevailing view from the aggregate theory to the entity theory. These developments reveal that partnerships have evolved by supplementing their contractual nature with organizational characteristics, while interacting with commercial institutions. Nevertheless, it is noteworthy that even where legislation emphasizes the organizational nature of partnerships, temporary partnerships cannot be entirely excluded, and thus partnerships retaining their original form continue to be regulated.
(3) Partnerships under the Korean Civil Code are likewise understood as being based on contractual nature, supplemented by organizational characteristic. Even when the organizational characteristic of an partnership is acknowledged, an partnership—being a type of nominate contract—cannot be regarded as an independent entity. Since an partnership cannot serve as a subject of rights and obligations, it cannot own property in its own name; rather, all partners jointly own the property in their respective names. The specific details of this distinctive ownership structure remain subject to contractual arrangements. This perspective should also govern the disposition of partnership property and the registration of real estate belonging to an partnership. Accordingly, where registration is made in the name of a single partner pursuant to the partnership agreement for purposes consistent with the partnership’s objectives, the contractual terms should be considered as primarily determining the legal nature of the relationship.
Since an partnership cannot itself engage in legal acts with third parties, external transactions are conducted through an agent. Although partnership debts are primarily satisfied from partnership property, the personal assets of partners may also be liable. The unlimited liability of partners is an essential element of the partnership system and, as long as the arrangement qualifies as an partnership, it cannot be excluded by agreement among the partners; this may impose a considerable burden on them. To mitigate this, recourse may be had to institutions under the Commercial Code, such as limited partnerships, or limited liability partnerships. Alternatively, interpretative approaches analyzing the conceptual elements of partnerships may be employed to ensure substantive fairness in individual cases. Recent case law concerning joint ventures in construction projects—often understood as temporary partnerships—also deserves particular consideration in this context.
Even when a change occurs in the composition of an partnership due to the withdrawal of a partner, the partnership continues to exist, which presupposes recognition of its organizational characteristics. Nevertheless, in light of the concept and essential requirements of an partnership—formed by contract among multiple parties—it is clear that a one-partner partnership cannot be constituted and cannot subsequently arise.
These considerations can also be applied in the context of conflict of laws. For partnerships under the Korean Civil Code, international jurisdiction and the applicable law should be determined on the basis of their contractual nature. Of course, characterization is required in the case of foreign partnerships or similar entities.
(4) As examined above, it is possible to seek reasonable solutions to specific issues by relying on the contractual nature of partnerships. Furthermore, given current practical circumstances, there appears to be no urgent reason to comprehensively reconsider the status of continuing partnerships as business entities in our economic society. Naturally, if a consensus emerges, legislative reform could alter the structure of partnerships under the Korean Civil Code. In such a process, the system of partnership law could be reorganized by amending only certain provisions, taking into account (i) the functions of partnerships under the Civil Code, (ii) their relationship with other legal institutions, (iii) the understanding of archetypal partnerships, and (iv) the extent to which partners’ intentions can be reflected.
