본 연구는 최고경영자(CEO) 교체가 재무보고서의 MD&A 섹션의 서술적 특성에 어떠한 변화를 가져오는지를 분석하고, 이러한 변화의 배경에 있는 동기를 살펴본다. 텍스트 분석 기법을 활용하여 분석한 결과, 신규로 선임된 CEO는 기존 CEO에 비해 MD&A를 더 길게 작성하며, 가독성이 낮고, 보다 비관적이며 미래지향적인 서술을 사용하는 경향을 보인다. 본 연구는 이러한 텍스트 변화가 신규 CEO가 보다 투명하고 정보적인 공시를 통해 불확실성을 해소하려는 시도인지, 혹은 불확실성을 전략적으로 활용하여 투자자 인식을 관리하려는 행위인지를 검토한다. 분석 결과, 신규 CEO의 서술적 변화는 특히 공시의 가독성이 낮은 기업에서 더욱 뚜렷하게 나타난다. 이는 신규 CEO가 CEO 교체로 인해 불확실성이 높은 시기에 공시의 서술 방식을 조정함으로써 투자자 인식에 영향을 미치려는 유인을 가질 수 있음을 시사한다. 또한 CEO의 배경 특성에 따른 추가 분석 결과, 공인회계사(CPA) 자격을 보유한 CEO는 상대적으로 짧고 명확하며 덜 비관적인 MD&A를 작성하는 경향을 보이는데, 이는 보다 정보 제공적인 보고 성향과 일관된다. 반면, 외부에서 영입된 CEO의 경우, 특히 가독성이 낮은 기업에서 전략적 서술 조정과 부합하는 패턴이 관찰된다. 종합적으로 본 연구의 분석 결과는 CEO 교체로 인한 불확실성이 높은 상황에서 신규 CEO의 공시 서술 변화가 투자자 인식과 관련된 전략적 요인을 반영할 가능성을 제시한다.

This study investigates how CEO turnover affects the narrative characteristics of the MD&A section in financial reports and examines the motivations underlying these changes. Using textual analysis, I show that newly appointed CEOs produce MD&As that are longer, less readable, more pessimistic, and more forward-looking compared to incumbent CEOs. I consider two competing explanations for these textual shifts: whether new CEOs aim to resolve uncertainty through transparent and informative reporting, or strategically exploit uncertainty for opportunistic purposes. The results indicate that these narrative shifts are most pronounced in firms with low readability, suggesting that new CEOs strategically adjust their disclosures to manage investor perceptions during periods of heightened uncertainty rather than to enhance transparency. Supporting this interpretation, evidence from CEO background shows that CPA-qualified CEOs issue shorter, clearer, and less pessimistic disclosures consistent with in formative reporting, while external CEOs, particularly in less readable firms, exhibit patterns aligned with strategic narrative management. The findings indicate that during periods of elevated uncertainty associated with a turnover, newly appointed CEOs alter their disclosures to shape investor sentiment rather than to promote greater information transparency.
