Big Tech Layoff Shocks and Talent Acquisition: The Role of Acqui-hire in M&A Deal Withdrawal = 빅테크 기업 인력감축 충격과 인재 확보 전략: Acqui-hire 특성이 인수합병 거래 철회에 미치는 영향

This study examines how large-scale layoffs by Big Tech firms in 2022 affected M&A deal withdrawal, with particular attention to transactions characterized by acqui-hire motives. Using a sample of 1,698 M&A transactions announced between 2019 and 2024 in U.S. high-technology industries, the study empirically analyzes how the likelihood of deal withdrawal changes following the layoff shock. The results indicate that the overall probability of M&A deal withdrawal increased after the layoff shock. However, transactions with strong talent-acquisition orientations were less likely to be withdrawn even after the shock. These findings suggest that talent-oriented acquisitions may exhibit relatively higher executability even in environments characterized by heightened labor market uncertainty.

국문 초록 (Abstract)

본 연구는 2022년 빅테크 기업들의 대규모 인력 감축이 인수합병 거래의 철회에 미치는 영향을 분석하며, 특히 인재 확보 목적(acqui-hire)을 지닌 거래의 특성에 주목한다. 이를 위해 2019년부터 2024년까지 미국의 기술 집약적 산업에서 발표된 1,698건의 인수합병 거래를 표본으로 사용하여, 대규모 인력 감축 이후 거래 철회 가능성이 어떻게 변화하는지를 실증적으로 분석하였다. 분석 결과, 충격 이후 전반적인 인수합병 거래 철회 가능성은 증가한 데 반해, 인재 확보 목적이 강한 거래는 오히려 철회될 가능성이 낮은 것으로 확인되었다. 이러한 결과는 노동시장 불확실성이 확대된 환경에서도 인재 확보 중심의 인수합병이 상대적으로 높은 실행 가능성을 가질 수 있음을 시사한다.
