최근 자본시장에서 기업 가치를 평가하는 기준은 전통적인 재무성과 중심에서 비재무적 요소까지 아우르는 방식으로 빠르게 전환되고 있다. 특히 2020년 블랙록(BlackRock)의 연례서한 발표 이후, ESG는 기업의 지속가능성과 리스크 대응 능력을 나타내는 핵심 지표로 자리 잡았으며, 투자자와 금융기관은 이를 자본조달 의사결정의 중요 척도로 활용하고 있다. 그러나 정보비대칭 환경에서 기업의 ESG 정보가 실질적인 자본조달비용 절감으로 이어지기 위해서는 정보의 신뢰성과 관측가능성을 담보 할 수 있는 강건한 거버넌스 특성이 뒷받침되어야 한다.
이에 본 연구는 2019년부터 2024년까지 유가증권시장 상장기업을 대상으로 ESG 활동 수준이 자본조달비용(자기자본비용, 타인자본비용, 가중평 균자본비용)에 미치는 영향을 분석하고, 이사회의 독립성·활동성·전문 성·다양성이 이러한 관계를 어떻게 조절하는지 실증적으로 검증하였다. 특히 본 연구는 기존 선행연구들이 데이터 접근의 한계로 인해 단순한 이사회 지표에 의존했던 것과 달리, 개별 사업보고서를 직접 검토하여 이사회 특성 변수 데이터를 수기로 수집하였다. 이를 통해 이사회 규모 및 개최 빈도와 같은 세부 운영 활동, 이사회의 회계·재무 전문가 비중, 구성원의 성별 및 연령 다양성 등 변수를 데이터로 구축하여 분석함으로써 선행연구와의 차별성을 확보하였다.
실증분석 결과, 기업의 ESG 수준이 높을수록 자기자본비용, 타인자본 비용, 가중평균자본비용은 모두 유의하게 감소하는 것으로 나타났다. 이는 ESG 활동의 성과가 좋을수록 기업의 잠재적 리스크를 낮추는 긍정적 신호로 작용하여 기업의 자본조달비용을 실질적으로 절감시키는 효과가 있음을 의미한다.
이사회 특성의 조절효과를 검증한 결과는 각 특성에 따라 서로 상반된 결과를 나타낸다. 이사회의 활동성(이사회 개최 빈도)은 ESG 성과와 자본조달비용 간의 음(-)의 관계를 유의하게 강화하는 것으로 나타났다. 이 사회가 빈번하게 개최되어 경영진에 대한 감시와 조언 기능이 활발히 작동할수록, 시장은 해당 기업의 ESG 정보를 더욱 신뢰하게 되며 결과적으로 자본조달비용을 감소시키는 조절효과를 확인하였다. 반면, 전문성(회계·재무 전문가 비중), 다양성(성별, 연령), ESG 위원회 설치 여부와 같은 구조적 특성은 ESG의 비용 절감 효과를 약화시키는 양(+)의 조절효과를 보였다. 이는 한국 자본시장에서 이사회의 외형적 조건(전문가 영입, 다양성 확보, 위원회 설치)이 갖춰지더라도, 이것이 곧바로 실질적인 의사결정의 효율성 제고나 정보 신뢰성 강화로 직결되지 못하는 현실을 보여준다. 오히려 형식적인 요건 충족에 그치거나 구성원의 이질성이 의사 결정 과정의 비용을 증가시키는 요인으로 작용할 가능성을 시사한다.
본 연구는 자본조달비용을 다각도로 측정하여 ESG의 재무적 효과를 입증함과 동시에 이사회의 세부적 특성이 ESG의 신호 효과를 차별적으로 조절한다는 사실을 밝혔다는 점에서 의의가 있다. 이는 기업이 자본 조달 효율성을 높이기 위해서는 단순히 이사회의 외형적 구성을 갖추는 것을 넘어, 실질적인 운영과 치열한 논의가 수반되는 내실 있는 거버넌스 체계를 구축해야 함을 시사한다.

Capital market valuation has increasingly shifted from a traditional focus on financial performance to incorporating non-financial elements. Following BlackRock’s 2020 annual letter, ESG has emerged as a key indicator of corporate sustainability and risk management, and it is now widely used by investors and financial institutions in capital allocation decisions. However, under conditions of information asymmetry, the effectiveness of ESG information in reducing firms’ cost of capital depends on the presence of robust board governance that can enhance the reliability and observability of such information.
This study examines KOSPI-listed firms from 2019 to 2024 to analyze the effect of ESG performance on the cost of capital (Cost of Equity, Cost of Debt, and WACC) and investigates how board characteristics—independence, activity, expertise, and diversity—moderate this relationship. Unlike prior studies that relied on simplified board indicators due to data limitations, this study manually collected detailed variables from firms’ annual business reports, including board size, meeting frequency, the proportion of accounting and financial experts, and gender and age diversity, thereby constructing a richer dataset for empirical analysis.
The empirical results show a significant negative association between ESG performance and all three measures of the cost of capital, suggesting that strong ESG performance reduces investors’ perceived risk and leads to more favorable financing conditions.
The moderating effects of board characteristics are mixed. Board activity, measured by meeting frequency, strengthens the negative relationship between ESG performance and the cost of capital, indicating that active monitoring
and advisory engagement enhance the credibility of ESG information. In contrast, structural attributes such as expertise, diversity, and the presence of an ESG committee weaken this negative relationship. These findings imply that in the Korean capital market, formal structural features do not necessarily translate into substantive governance effectiveness, and that greater heterogeneity or procedural formality may introduce frictions that limit the effectiveness of ESG-related information.
Overall, this study contributes to the literature by demonstrating the financial implications of ESG using multiple cost-of-capital measures and by showing that specific board characteristics differentially moderate the ESG–capital cost relationship. The findings suggest that improving financing efficiency requires not only meeting formal board composition requirements but also ensuring substantive and rigorous board operations.
