본 연구는 한국과 베트남의 국제상사중재제도를 비교·분석하여 양국의 법제 구조, 절차 운영 방식, 사법적 개입 수준에서 나타나는 구조적 차이를 규명하고, 중재제도의 예측가능성과 집행력 강화를 위한 개선방향을 제시하는 것을 목적으로 한다. 국제 무역과 투자 증가로 국경 간 상사분쟁이 확대됨에 따라 중재제도는 국가재판을 대체하는 핵심적 분쟁해결 수단으로 자리 잡고 있으며, 양국 모두 뉴욕협약과 UNCITRAL 모델법의 원칙을 수용하고 있음에도 실제 운영에서는 뚜렷한 차이가 나타난다. 이러한 문제의식을 바탕으로 본 연구는 문헌연구, 비교법적 분석, 사례연구를 병행하여 양국 제도의 실질적 차이를 도출하였다.
한국은 중재법 전부개정(2016)을 통해 모델법의 취지를 충실히 반영하고, 법원의 개입을 최소화하는 비개입주의를 확립하였다. 공공질서 예외는 국제공공질서 기준으로 제한되며, 판례는 절차적 정당성을 중심으로 승인·집행 여부를 판단한다. KCAB International의 전문적 사건관리와 규칙의 국제적 정합성 또한 제도 신뢰성을 강화하는 요소로 작용한다. 반면 베트남은 상사중재법(LCA 2010)을 통해 국제표준을 도입하였으나, 공공정책 개념의 광범위한 적용, 절차요건에 대한 엄격한 판단, 지역 법원 간 해석 차이 등으로 인해 중재판정의 승인·집행 변동성이 크고 예측가능성이 낮은 것으로 평가된다. 최근 베트남 사법부는 절차 중심 심사로 전환하려는 움직임을 보이고 있어 개선 가능성이 확인된다.
사례 분석 결과에서도 양국의 차이가 명확하게 나타났다. 한국은 중재합의 해석, 통지 적법성, 절차 하자의 중대성 등에서 국제기준과 조화된 판단을 유지하는 반면, 베트남은 실체적 판단에까지 개입하는 경향이 있었다. 이에 본 연구는 계약 단계의 중재조항 설계, 절차 단계의 증거·통지 관리, 집행 단계의 리스크 사전 대응 등 기업 실무자가 활용할 수 있는 구체적 시사점을 제시하였다. 아울러 KCAB–VIAC 간 규범 조화, 중재인 공동양성, 사건 데이터 기반의 절차 표준화, 디지털 중재의 적법성 기준 마련 등 양국 간 협력 필요성을 강조하였으며, 아세안 역내 중재판정 상호인정 체계 구축이 분쟁해결 비용 절감과 법적 안정성 제고에 기여할 수 있음을 논증하였다.
본 연구는 판례 접근성, 기관 내부 데이터 제한, 실증분석 부재 등 일부 한계를 지니고 있으며, 향후 연구에서는 산업별 중재특성 분석, 공공질서 예외 유형화, 온라인·디지털 중재의 적법성 검토 등으로 확장될 필요가 있다. 결론적으로 본 연구는 양국 중재제도의 상호보완적 발전 가능성을 확인하고, 국제상사중재의 예측가능성과 집행력 향상을 위한 제도적·실무적 방향성을 제시했다는 점에서 학술적 의의를 가진다.

This study compares and analyzes the international commercial arbitration systems of Korea and Vietnam in order to identify structural differences in their legal frameworks, procedural operations, and levels of judicial intervention, and to propose institutional and practical improvements for enhancing predictability and enforceability in international arbitration. With the rapid expansion of cross-border trade and investment, arbitration has become a central mechanism for resolving international commercial disputes.
Although both countries have acceded to the New York Convention and adopted the fundamental principles of the UNCITRAL Model Law, substantial differences emerge in their actual legal implementation and judicial approaches. Based on a combination of literature review, comparative legal analysis, and case study examination, this study derives the core distinctions between the two systems.
Korea has established a pro-arbitration legal environment by fully incorporating the 2006 amendments of the Model Law through the 2016 revision of the Arbitration Act, thereby reinforcing the principle of minimal judicial intervention and applying the public policy exception only in accordance with international public policy. Korean courts consistently refrain from reviewing the merits of arbitral awards and assess enforcement primarily through procedural fairness. KCAB International’s independent case management structure, publication of award summaries, and harmonization with global institutional rules further strengthen the transparency and credibility of Korea’s arbitration regime. In contrast, Vietnam, despite adopting the Law on Commercial Arbitration (LCA 2010), continues to exhibit broad judicial interpretation of “fundamental principles of law” and public policy, strict formal requirements, and inconsistent regional court decisions, resulting in variability and reduced predictability in the recognition and enforcement of arbitral awards. Recent judicial trends, however, indicate a gradual shift toward procedure-focused review, suggesting the potential for future improvement.
The case analysis confirms these divergences. Korean courts demonstrate alignment with international standards regarding notice, procedural defects, and the scope of arbitration agreements, whereas Vietnamese courts have historically tended to intervene in substantive issues. Based on these findings, this study presents practical implications for corporate actors, including recommendations for drafting arbitration clauses, managing evidence and service during proceedings, and mitigating enforcement risks at the post-award stage. Furthermore, the study outlines avenues for cooperation between KCAB International and VIAC, such as regulatory harmonization, joint training programs, shared case-data systems, and the establishment of legitimacy standards for digital and online arbitration. Special emphasis is placed on the development of an ASEAN-level mutual recognition framework for arbitral awards, which can reduce dispute resolution costs and enhance legal certainty within the region, thereby supporting Korea’s expansion as a regional arbitration hub while assisting Vietnam in strengthening its institutional capacity.
This study acknowledges several limitations, including restricted access to unpublished arbitral awards, limited institutional data, and the absence of empirical analysis. Future research may explore industry-specific arbitration patterns, typologies of public policy exceptions, and the impact of digital proceedings on each jurisdiction’s legal framework. Overall, this research demonstrates the complementary developmental potential of the two arbitration systems and provides institutional and practical directions for improving the predictability and enforceability of international commercial arbitration in Korea and Vietnam.
