    This study aims to examine, on a step-by-step basis, the procedural and regulatory framework applicable to foreign enterprises seeking access to China’s capital market and pursuing a domestic listing, and to analyze the major legal issues arising at each stage of that process. In the past, China explored the possibility of enabling high-quality foreign enterprises to list on the mainland through the introduction of the “International Board.” However, this initiative failed to materialize due to institutional constraints, including differences in accounting and auditing standards, concerns over the reliability of disclosure, and ambiguity in the allocation of supervisory authority. Nevertheless, the discussion surrounding the International Board served as an important conceptual starting point for subsequent institutional debates, as it raised fundamental questions regarding how foreign enterprises should be incorporated into China’s capital market regulatory framework.
    Under the current regime, the listing of foreign enterprises in China is first examined at the entry stage, with a focus on issues such as the availability of access routes to the capital market, criteria for determining corporate nationality, and the institutional feasibility of accepting securities issued overseas in uncertificated form. In particular, the legal effects within China of listing-related activities conducted abroad, and the extent to which the principle of territoriality applies, constitute foundational issues in the regulatory framework for foreign enterprises. These issues go beyond formal requirements and directly determine the scope of application of China’s supervisory regime.
    At the post-listing stage, the characteristics of China’s capital market system come into concrete conflict with the existing operational structures of foreign enterprises in areas such as information disclosure, accounting and auditing, foreign exchange administration, taxation, and liquidation procedures. Foreign enterprises are required to comply with China’s standards for initial, continuous, and ad hoc disclosure, and to bear additional regulatory burdens with respect to the applicable accounting standards, disclosure language, and qualification requirements for external auditors. Furthermore, due to the institutional feature of partial capital account liberalization, fundamental corporate activities—including dividend distribution, capital repatriation, and cross-border remittances—are directly affected by foreign exchange and tax regulations.
    A comparative review with major capital market jurisdictions reveals that, while China’s capital market legal framework appears on its face to encompass the regulatory elements necessary for foreign enterprise listings, its actual operation continues to rely heavily on a regulatory logic centered on domestic enterprises. This contrasts with the practices of the United States, the European Union, Hong Kong, and Singapore, which have established dedicated listing pathways and adjusted accounting and disclosure standards for foreign issuers, and have gradually clarified the scope of extraterritorial application through case law and supervisory practice.
    In light of this comparative analysis, this study argues that, for China to achieve substantive progress in the internationalization of its capital market, it must move beyond the mere incorporation of foreign enterprises into existing regulatory structures and instead construct a clearer normative framework premised on foreign enterprise listings. Specifically, it is necessary to rationalize the relationship between the Securities Law and the Company Law, and to establish predictable standards for the scope and criteria of extraterritorial application in order to reduce regulatory uncertainty. In addition, greater alignment with internationally accepted accounting and disclosure standards, as well as enhanced cooperation with supervisory authorities in major listing jurisdictions, is essential to minimizing supervisory conflicts and advancing institutional reform.

    본 연구는 외국기업이 중국 자본시장에 진입하여 상장을 추진하는 과정에서 요구되는 절차와 규제의 구조를 단계별로 검토하고, 그 과정에서 발생하는 주요 법적 쟁점을 분석하는 것을 목적으로 한다. 중국은 과거 국제판시장 도입을 통해 해외 우량기업의 본토 상장을 모색하였으나, 회계·감사 기준의 차이, 공시의 신뢰성 문제, 감독 권한 배분의 불명확성 등 제도적 제약으로 인해 실현화에는 이르지 못하였다. 그럼에도 국제판 논의는 외국기업을 중국 자본시장 규율체계 안에서 어떻게 수용할 것인지에 관한 기본적 문제의식을 제기하였다는 점에서 이후 제도 논의의 중요한 출발점으로 기능하였다.
    현행 제도하에서 외국기업의 중국 상장은 우선 자본시장 접근 경로의 존재 여부, 기업 국적 판단 기준, 해외에서 무권화 형태로 발행된 증권의 제도적 수용 가능성이라는 진입 단계의 쟁점을 중심으로 검토된다. 특히 해외에서 이루어진 상장 관련 행위가 중국 내에서 어떠한 법적 효과를 가지는지, 속지주의 원칙이 어느 범위까지 적용되는지는 외국기업 규율체계의 기초를 이루는 문제로서, 단순한 형식 요건을 넘어 중국 감독체계의 적용 범위를 결정하는 기준이 된다.
    상장 이후 단계에서는 정보공시, 회계·감사, 외환관리, 조세, 청산절차 등에서 중국 자본시장 제도의 특성이 외국기업의 기존 운영 구조와 충돌하는 양상이 구체화된다. 외국기업은 중국 기준에 따른 발행·지속·수시 공시 의무를 부담하게 되며, 회계기준의 적용 범위, 공시 언어, 외부감사인의 자격 요건 등에서도 추가적인 규제 부담을 감수해야 한다. 더 나아가 자본계정의 부분적 개방이라는 제도적 특성으로 인해 배당, 자금 회수, 해외송금 등 기본적인 기업활동 역시 외환·조세 규제의 직접적인 영향을 받는다.
    이러한 단계별 검토를 주요 자본시장 국가와 비교해 보면, 중국 자본시장 법제는 외형적으로는 외국기업 상장에 필요한 규율 요소를 갖추고 있으나, 실제 운용에 있어서는 여전히 중국 국내기업 중심의 규제 논리에 크게 의존하고 있음을 확인할 수 있다. 미국과 유럽연합, 홍콩, 싱가포르 등이 외국기업 상장을 전제로 한 별도의 상장 경로와 회계·공시 기준 조정 장치를 마련하고, 역외적용의 범위 역시 판례와 감독 실무를 통해 점진적으로 정형화해 온 것과 대비된다.
    비교법적 검토에 비추어 볼 때, 향후 중국이 자본시장의 국제화를 실질적으로 진전시키기 위해서는 외국기업을 기존 규율체계에 단순히 편입시키는 방식에서 벗어나 외국기업 상장을 전제로 한 보다 명확한 규범 구조를 구축할 필요가 있다. 구체적으로는 증권법과 회사법 간 적용 관계를 정비하고, 역외적용의 기준과 범위를 예측 가능하게 설정함으로써 규제 불확실성을 완화해야 한다. 아울러 회계·공시 제도에 있어 국제적으로 수용된 기준과의 조화를 확대하고, 주요 상장국 감독당국과의 협력 체계를 강화함으로써 감독 충돌을 최소화하는 방향으로 제도 개선이 이루어질 필요가 있다.
