This study aims to critically examine the structural weaknesses of the current regulatory framework governing investment recommendations for financial investment products in Korea and to propose comprehensive policy measures to enhance investor protection. The study was motivated by a series of large-scale financial scandals, including the DLF, Lime, and Optimus fund cases, which resulted in significant losses to financial consumers. Despite the existence of regulatory mechanisms such as the suitability principle and the duty of explanation, these measures have often been implemented in a merely formalistic manner in practice, thereby failing to provide effective protection for investors. Against this backdrop, this study identifies the fundamental limitations of the existing regulatory system through legal analysis, case studies, and comparative legal review, and explores feasible alternatives for reform.
The findings of this study indicate that the Korean regulatory framework for investment recommendations remains largely ex post in nature, focusing primarily on sales practices, while lacking a structural and preventive regulatory mechanism to control risks at the product design and development stages. Furthermore, compensation structures favoring short-term sales performance and superficial internal control systems were found to be major institutional factors contributing to mis-selling practices. In particular, elderly investors and financially vulnerable groups remain highly exposed to information asymmetry, yet effective protective measures for these groups remain insufficient. In addition, the rapid expansion of non-face-to-face and AI-based financial services raises concerns about regulatory gaps in ensuring appropriate investor protection in the digital financial environment.
Accordingly, this study proposes a set of multidimensional policy measures to enhance investor protection and improve the integrity of investment sales practices. First, the regulation of investment recommendations should be strengthened to encompass not only advisory services but also non-advisory sales, with a particular focus on investor comprehension. In addition, financial institutions should endeavor to implement the suitability principle more substantively by sharing information on investors’ experience, investment assets, and risk profile classifications across institutions. Second, internal control systems and sales processes should be advanced by reinforcing the independence of compliance officers and chief consumer protection officers, thereby fostering a fundamental transformation in organizational culture. Third, ex ante risk mitigation should be pursued through the introduction of product governance frameworks and pre–due diligence systems at the product design stage. Fourth, in order to improve dispute resolution and compensation mechanisms, the respective responsibilities of distributors, asset managers, and custodians should be clearly defined, and a sales liability insurance scheme should be introduced to ensure stable financial resources for compensation in cases of misselling. Finally, with respect to fintech- and AI-based investment recommendations, this study suggests establishing a forward-looking regulatory framework that applies principles of algorithmic suitability verification and explainability.
In conclusion, this study emphasizes that Korea’s investor protection framework should move beyond the mere compliance with formal regulations and transition toward a structural and preventive regulatory approach that places the substantive understanding and protection of investors at its core. It is hoped that these recommendations will contribute to restoring trust in the financial markets and to establishing a sustainable and effective investor protection system amid the rapidly changing financial environment.
