    코로나19 사태 이후에는 동산 거래뿐만 아니라 부동산 거래 분야에서도 인터넷과 모바일 온라인 플랫폼상의 비대면 거래가 급격히 증가하면서 여러 플랫폼 사업자가 온라인 시장에 진입하게 되었고, 이용자가 증가할수록 플랫폼 자산가치가 증가하는 네트워크 효과에 의한 대형 플랫폼 사업자가 시장지배적 지위를 남용하는 폐해가 나타남으로써 플랫폼 서비스 사업자에 대한 규제 논의가 대두되면서 서비스 이용자 보호를 위한 법적 규제의 필요성과 함께 입법을 통한 법제 정비 방안도 제기되고 있다.
    그러나, 부동산 플랫폼에 관한 법제는, 아직은 ‘플랫폼’이라는 개념조차 법정되지 않은 상황에서 플랫폼이나 부동산 플랫폼에 바로 적용할 수 있는 별도의 단행법률은 없는 실정이므로 부동산 관련 법제를 체계화하기 위해서는 플랫폼 사업 주체와 가상공간의 사업 장소 및 구체적인 사업 방법에 관련된 법령으로 구분하여 검토하는 것이 바람직하다고 본다.
    그래서, 토지·건물과 같은 유형의 고정자산인 부동산을 온라인의 가상공간에서 매매 및 임대와 같은 부동산 거래가 이루어지게 하고 부동산 관련 서비스를 제공함에 있어서 불공정한 거래가 행하여진다면 어떠한 법률로 규제할 수 있을 것인가의 의문을 해소하기 위해서 이 논문에서는 먼저 부동산 플랫폼에 관련되는 현행의 법제를 검토한 다음, 현행의 법제가 미비한 경우에는 주요 외국의 법제를 비교·검토하고 시사하는 바를 참고하여 우리 법제의 개선 방안을 모색하는데 주안점을 두고 있다.
    그런데, 부동산 플랫폼이 제공하는 서비스는 부동산 개발·컨설팅을 비롯하여 중개·관리·금융·투자·세무·법무 등 다양한 분야의 서비스를 통합하거나 전문 분야별로 제공하고 있으나, 이 논문에서는 가장 일반적으로 이용되고 있는 부동산 중개·관리·투자 분야의 플랫폼을 중심으로 연구 범위를 한정하여 고찰하였다.
    온라인 부동산 플랫폼 서비스의 이해관계자는 플랫폼 사업자와 이용자 및 서버 제공자로 구분된다. 플랫폼은 누구나 개설하여 사업자가 될 수 있으나, 온라인 가상공간 사업장이라는 특성으로 인하여 다수의 이용자들이 플랫폼 내에서 직접거래를 하거나 중개거래를 할 수 있도록 하는 가상의 사업장을 제공할 뿐, 부동산 거래에 직접적으로 관여하지도 않는다. 뿐만 아니라, 모든 서비스 이용자에게서 이용료를 받는 것도 아니므로 플랫폼 사업자는 거래 당사자가 아니라는 실무적인 운영 기반에서 볼 때, 플랫폼 사업자의 법적 지위에 대해서는 통신판매업자로서의 책임과 실질적인 중개업자로서의 책임이라는 이중적인 시각에서 법리 구성이 가능할 것이나, 이들의 이해관계를 합리적으로 규율하기 위해서는 기본적으로 사업자로서의 신의성실 의무와 플랫폼 제작 시 준수해야 할 법리가 있고, 그 법리로는 전자상거래 공정화의 법리, 플랫폼 사업자의 시장지배적 지위 남용금지의 법리, 부당표시·광고 행위 금지의 법리, 개인정보 안전관리의 법리 등이 있을 것이다.
    부동산 중개플랫폼의 경우에는 「공인중개사법」의 개정을 통해 간접 중개행위도 중개의 정의에 포함하여, 실질적으로 부동산 중개 기능을 하는 부동산 중개플랫폼 사업자에게 자격과 책임을 명확히 부과할 수 있도록 하여야 한다. 그리고, 매물 등록의 자율성에 따라 이용자가 부동산 중개플랫폼에 등록한 물건에 의하여 허위 매물 및 과장광고를 원인으로 한 사고가 발생하는 경우 현행법상 별도의 규제가 마련되어 있지 않아 매물 등록자의 민사책임 이외의 책임은 발생하지 않는데, 이런 사고를 예방하기 위해서는 사업자가 아닌 플랫폼 이용자의 허위 매물·과장광고에 대한 책임을 지우는 제도적 개선이 필요하다고 본다. 아울러, 비대면성을 특징으로 한 부동산 중개플랫폼의 활성화를 위해 전문가를 기반으로 한 현장점검 제도, 전자계약 시스템의 개방, 표준 매물확인서 도입도 필요하다.
    또한, 부동산 관리플랫폼의 경우에는 그 사업 내용이 부동산 임대관리와 시설관리 및 자산관리의 형태로 구분되는데, 그 대상 부동산은 아파트 등 공동주택, 상가 등 집합건물, 오피스텔 등 업무용 빌딩, 호텔, 병원 등 특수건물 등이 있으나, 관리플랫폼 서비스 이용의 주류는 공동주택 관리플랫폼과 집합건물 관리플랫폼이라고 할 수 있다.
    관리플랫폼은 플랫폼 내에서의 관리 서비스만으로는 부족하고, 부동산 실물을 유지 및 보수해야 하는 오프라인상의 기술적 서비스도 함께 진행해야 하는 특성이 있으므로, 관리자로서의 전문성과 책임이 당연히 요구될 것이다. 그러나, 현행의 부동산 관리플랫폼은 사업자의 전문자격을 요구하거나 서비스 질을 높이고 객관화하기 위한 ‘관리서비스 표준계약서’를 채택하거나 정기적인 감독을 시행하는 기구나 행정체계를 갖추지 못하고 있고, 임차보증금이나 관리비 수령, 보관과 관련한 유용사고에 대한 배상책임 이행보증제도의 도입이 미비한 상태이며, 관리플랫폼 사업자가 업무 수행 중 취득한 개인정보나 관리프로그램의 전자적 기록을 안전하게 관리하지 못하여 해킹당하거나 유실, 유출된 사고에 대한 배상책임을 이행할 수 있는 책임보험 가입 의무화 제도도 마련하지 못하고 있는 실정이므로 관련 법제의 개선이 필요하다.
    그리고, 부동산 투자플랫폼의 경우에는 종래에 투자된 주식 대금으로 부동산을 단기 개발한 후 매각하여 수익을 분배하는 ‘위탁관리형 리츠’ 위주로 운영하여 왔으나, 장기 운영 기반의 간접투자 시장을 정착시키기 위해서는 ‘자기관리형 리츠’를 개발프로젝트 리츠의 기본형으로 하여 기존의 프로젝트 금융과의 차별성을 유도하고 위탁관리형 리츠는 보조적 선택으로 설정하는 제도 개선이 필요하다고 본다.
    한편, 최근에는 소액의 투자자들도 부동산과 관련된 증권에 투자할 수 있도록 하는, 이른바 부동산 ‘조각투자’ 혹은 ‘토큰증권 투자’를 위한 「자본시장법 개정(안)」과 「전자증권법 개정(안)」을 상정하여 토큰증권의 증권성 논란을 해소하고, 부동산신탁을 기초로 수익증권을 발행하여 유통할 수 있도록 「자본시장법」 내에서 규율하려고 하는 제도화 방향은 바람직하다고 보지만, 모든 동산과 부동산에 대하여 조각투자가 가능하도록 제도화하기 위해서는 금융회사 등 자산 보유자와 부동산, 동산 등 유동화 대상 자산을 제한하고 있는 「자산유동화법」을 선행적으로 개정할 필요가 있다고 본다.
    그리고, 부동산 토큰증권의 유통 제한의 문제점을 해소하기 위해 장외거래소를 법적 인가와 자율규제, 불공정거래 규제가 의무화된 장외거래소 체계를 갖출 수 있도록 「자본시장법」을 개정하여 부동산 토큰증권의 안정적 유통과 투자자 보호를 동시에 달성할 수 있도록 하여야 할 것이다.

    In the aftermath of the COVID-19 pandemic, non-face-to-face transactions conducted through internet- and mobile-based online platforms have increased rapidly not only in the field of movable property transactions but also in the real estate sector, leading to the active participation of various platform operators into the online market. With the expansion of user bases, large-scale platform operators have benefited from network effects that enhance platform asset value, which in turn has led to concerns regarding the abuse of market-dominant positions. Accordingly, discussions on the regulation of platform service providers have emerged, alongside growing recognition of the need for legal regulation to protect service users and for legislative measures to establish a coherent legal framework.
    However, as the concept of a “platform” has not yet been formally defined by statute and no independent legislation directly applicable to platforms or real estate platforms currently exists, the legal framework governing real estate platforms remains underdeveloped. Therefore, for the purpose of systematizing the relevant real estate laws, it is appropriate to review the applicable legal provisions by classifying them according to the platform business operators, the virtual spaces in which business activities are conducted, and the specific methods of business operation.
    Accordingly, in order to address the question of which laws may be applied to regulate unfair practices arising in the provision of real estate–related services, where transactions such as the sale and lease of real estate—being tangible fixed assets such as land and buildings—are conducted within online virtual spaces, this study first examines the existing legal framework applicable to real estate platforms. It then proceeds to conduct a comparative review of the legal systems of major foreign jurisdictions where the current legal framework is found to be insufficient, and, by drawing on the implications thereof, focuses on exploring measures for improving the domestic legal framework.
    However, while real estate platforms provide a wide range of services—either in an integrated manner or by specialized field—including real estate development and consulting, brokerage, management, finance, investment, taxation, and legal services, this study limits its scope of analysis to platforms operating in the real estate brokerage, management, and investment sectors, which are the most commonly utilized in practice.
    The stakeholders involved in online real estate platform services may be classified into platform operators, users, and server providers. Although any person may establish a platform and operate it as a business, due to the nature of online virtual spaces as places of business, platforms merely provide a virtual marketplace in which a large number of users may engage in either direct transactions or brokered transactions within the platform, without directly participating in real estate transactions themselves. Moreover, platform operators do not necessarily charge usage fees to all service users. From the perspective of practical operation, therefore, platform operators are not parties to the underlying transactions. In this regard, the legal status of platform operators may be conceptualized from a dual perspective: on the one hand, their liability as electronic commerce operators, and on the other, their responsibility as de facto intermediaries. However, in order to reasonably regulate the respective interests involved, platform operators are, at a fundamental level, subject to the duty of good faith as business operators, as well as to legal principles that must be observed in the design and operation of platforms. Such principles include the legal framework governing fairness in electronic commerce, the prohibition against the abuse of market-dominant positions by platform operators, the prohibition of unfair or deceptive representations and advertising practices, and the principles governing the secure management of personal data.
    With respect to real estate brokerage platforms, it is necessary to amend the Licensed Real Estate Agents Act to include indirect brokerage activities within the statutory definition of brokerage, thereby clearly imposing qualifications and responsibilities on real estate brokerage platform operators that perform real estate brokerage functions. Furthermore, under the current legal framework, where incidents arise from false listings or exaggerated advertisements related to properties registered on real estate brokerage platforms by users pursuant to the principle of autonomy in listing registration, no specific regulatory measures are in place, and liability is limited to the civil liability of the listing registrant. In order to prevent such incidents, it is considered necessary to introduce institutional reforms that impose responsibility for false listings and exaggerated advertising on platform users who are not business operators. In addition, to promote the activation of real estate brokerage platforms characterized by non-face-to-face transactions, it is also necessary to introduce expert-based on-site inspection systems, expand access to electronic contract systems, and adopt standardized property verification forms.
    In the case of real estate management platforms, their business activities may be categorized into forms of lease management, facility management, and asset management. The properties subject to such services include multi-unit residential housing such as apartment complexes, collective buildings such as commercial complexes, office buildings including officetels, and special-purpose buildings such as hotels and hospitals. However, the predominant use of management platform services is concentrated in platforms for the management of multi-unit residential housing and collective buildings.
    Management platforms are not limited to providing management services within the platform itself; due to the nature of their operations, they must also perform offline technical services necessary for the maintenance and repair of physical real estate assets. Accordingly, a high level of professional expertise and responsibility is inherently required as managers. However, under the current legal framework, real estate management platforms do not require platform operators to possess professional qualifications, nor have they adopted standardized “management service contracts” aimed at enhancing and objectifying service quality, nor do they operate under any institutional or administrative system for regular supervision. Furthermore, the introduction of a performance guarantee system to ensure compensation for misappropriation incidents related to the receipt and custody of lease deposits or management fees remains insufficient. In addition, no mandatory liability insurance scheme has been established to require management platform operators to secure insurance coverage for compensation in cases where personal data obtained in the course of business operations or electronic records within management programs are compromised through hacking, loss, or leakage due to inadequate data security management. Accordingly, improvements to the relevant legal framework are required.
    With respect to real estate investment platforms, they have traditionally been operated primarily through trustee-managed Real Estate Investment Trusts (REITs), under which real estate is developed in the short term using invested equity capital and subsequently sold, with profits distributed to investors. However, in order to establish a long-term operation-based indirect investment market, it is considered necessary to designate self-managed REITs as the basic model for development-project REITs, thereby differentiating them from conventional project financing structures, while positioning trustee-managed REITs as a supplementary option.
    Meanwhile, recent legislative initiatives—including proposed amendments to the Capital Markets Act and the Electronic Securities Act—have been introduced with a view to enabling small-scale investors to invest in securities related to real estate, commonly referred to as “fractional real estate investment” or “tokenized securities investment.” These proposals seek to resolve controversies regarding the securities nature of tokenized securities and to regulate, within the framework of the Capital Markets Act, the issuance and circulation of beneficial certificates based on real estate trusts. This direction of institutionalization is considered desirable. However, in order to fully institutionalize fractional investment across all types of movable and immovable property, it is considered necessary to first amend the Asset-Backed Securitization Act, which currently restricts both asset holders such as financial institutions and the types of assets eligible for securitization, including real estate and movable property.
    Furthermore, in order to address the issues arising from restrictions on the circulation of real estate tokenized securities, it is necessary to amend the Capital Markets Act to establish an over-the-counter (OTC) trading system subject to legal authorization, mandatory self-regulation, and the application of regulations against unfair trading practices. Through such amendments, the stable circulation of real estate tokenized securities and the protection of investors may be achieved concurrently.

    Accordingly, in order to address the question of which laws may be applied to regulate unfair practices arising in the provision of real estate–related services, where transactions such as the sale and lease of real estate—being tangible fixed assets such as land and buildings—are conducted within online virtual spaces, this study first examines the existing legal framework applicable to real estate platforms. It then proceeds to conduct a comparative review of the legal systems of major foreign jurisdictions where the current legal framework is found to be insufficient, and, by drawing on the implications thereof, focuses on exploring measures for improving the domestic legal framework.
    However, while real estate platforms provide a wide range of services—either in an integrated manner or by specialized field—including real estate development and consulting, brokerage, management, finance, investment, taxation, and legal services, this study limits its scope of analysis to platforms operating in the real estate brokerage, management, and investment sectors, which are the most commonly utilized in practice.
    The stakeholders involved in online real estate platform services may be classified into platform operators, users, and server providers. Although any person may establish a platform and operate it as a business, due to the nature of online virtual spaces as places of business, platforms merely provide a virtual marketplace in which a large number of users may engage in either direct transactions or brokered transactions within the platform, without directly participating in real estate transactions themselves. Moreover, platform operators do not necessarily charge usage fees to all service users. From the perspective of practical operation, therefore, platform operators are not parties to the underlying transactions. In this regard, the legal status of platform operators may be conceptualized from a dual perspective: on the one hand, their liability as electronic commerce operators, and on the other, their responsibility as de facto intermediaries. However, in order to reasonably regulate the respective interests involved, platform operators are, at a fundamental level, subject to the duty of good faith as business operators, as well as to legal principles that must be observed in the design and operation of platforms. Such principles include the legal framework governing fairness in electronic commerce, the prohibition against the abuse of market-dominant positions by platform operators, the prohibition of unfair or deceptive representations and advertising practices, and the principles governing the secure management of personal data.
    With respect to real estate brokerage platforms, it is necessary to amend the Licensed Real Estate Agents Act to include indirect brokerage activities within the statutory definition of brokerage, thereby clearly imposing qualifications and responsibilities on real estate brokerage platform operators that perform real estate brokerage functions. Furthermore, under the current legal framework, where incidents arise from false listings or exaggerated advertisements related to properties registered on real estate brokerage platforms by users pursuant to the principle of autonomy in listing registration, no specific regulatory measures are in place, and liability is limited to the civil liability of the listing registrant. In order to prevent such incidents, it is considered necessary to introduce institutional reforms that impose responsibility for false listings and exaggerated advertising on platform users who are not business operators. In addition, to promote the activation of real estate brokerage platforms characterized by non-face-to-face transactions, it is also necessary to introduce expert-based on-site inspection systems, expand access to electronic contract systems, and adopt standardized property verification forms.
    In the case of real estate management platforms, their business activities may be categorized into forms of lease management, facility management, and asset management. The properties subject to such services include multi-unit residential housing such as apartment complexes, collective buildings such as commercial complexes, office buildings including officetels, and special-purpose buildings such as hotels and hospitals. However, the predominant use of management platform services is concentrated in platforms for the management of multi-unit residential housing and collective buildings.
    Management platforms are not limited to providing management services within the platform itself; due to the nature of their operations, they must also perform offline technical services necessary for the maintenance and repair of physical real estate assets. Accordingly, a high level of professional expertise and responsibility is inherently required as managers. However, under the current legal framework, real estate management platforms do not require platform operators to possess professional qualifications, nor have they adopted standardized “management service contracts” aimed at enhancing and objectifying service quality, nor do they operate under any institutional or administrative system for regular supervision. Furthermore, the introduction of a performance guarantee system to ensure compensation for misappropriation incidents related to the receipt and custody of lease deposits or management fees remains insufficient. In addition, no mandatory liability insurance scheme has been established to require management platform operators to secure insurance coverage for compensation in cases where personal data obtained in the course of business operations or electronic records within management programs are compromised through hacking, loss, or leakage due to inadequate data security management. Accordingly, improvements to the relevant legal framework are required.
    With respect to real estate investment platforms, they have traditionally been operated primarily through trustee-managed Real Estate Investment Trusts (REITs), under which real estate is developed in the short term using invested equity capital and subsequently sold, with profits distributed to investors. However, in order to establish a long-term operation-based indirect investment market, it is considered necessary to designate self-managed REITs as the basic model for development-project REITs, thereby differentiating them from conventional project financing structures, while positioning trustee-managed REITs as a supplementary option.
    Meanwhile, recent legislative initiatives—including proposed amendments to the Capital Markets Act and the Electronic Securities Act—have been introduced with a view to enabling small-scale investors to invest in securities related to real estate, commonly referred to as “fractional real estate investment” or “tokenized securities investment.” These proposals seek to resolve controversies regarding the securities nature of tokenized securities and to regulate, within the framework of the Capital Markets Act, the issuance and circulation of beneficial certificates based on real estate trusts. This direction of institutionalization is considered desirable. However, in order to fully institutionalize fractional investment across all types of movable and immovable property, it is considered necessary to first amend the Asset-Backed Securitization Act, which currently restricts both asset holders such as financial institutions and the types of assets eligible for securitization, including real estate and movable property.
    Furthermore, in order to address the issues arising from restrictions on the circulation of real estate tokenized securities, it is necessary to amend the Capital Markets Act to establish an over-the-counter (OTC) trading system subject to legal authorization, mandatory self-regulation, and the application of regulations against unfair trading practices. Through such amendments, the stable circulation of real estate tokenized securities and the protection of investors may be achieved concurrently.
