    우리나라 입법자들은 약 40년 전, 약관을 통한 사업자들의 횡포로부터 우리 국민을 보호하고자 「약관의 규제에 관한 법률」(이하 ‘약관규제법’이라 한다)을 제정하여 사업자에게 약관의 “(전체)내용”을 명시하고(명시의무), “중요한 내용”은 설명하도록(설명의무) 하였다. 이중 설명의무는 약관규제법 제정 이래 실질적으로는 단 한 차례도 개정되지 않아 입법적 공감대가 굳건한 것처럼 보이나, 비교법적으로 유례가 없는 강력한 편입통제 장치인 만큼 학계에서는 그 규범력을 두고 꾸준한 논의가 이루어지고 있다.
    위와 같은 배경에서 설명의무 규정의 문언상 규범력과 실무상 규범력을 살펴본 결과 그 괴리는 상당하였다. 문언상 설명의 대상인 “중요한 내용”은 불명확한 개념이고, 설명의 형식인 “설명”은 구두설명을 의미하는 명확한 개념이다. 게다가 “계약의 성질”을 이유로만 설명의무가 면제될 수 있다(대상은 개방적이고, 형식은 엄격하며, 면제는 쉽지 않다). 그러나 우리나라 학설과 판례를 통해 구현된 설명의무는 이른바 ‘고객이 (이미) (충분히) (잘) 알고 있거나 거래상 일반적이고 공통된 것이어서 고객이 별도의 설명 없이도 충분히 예상할 수 있었던 사항 또는 이미 법령에 의하여 정하여진 것을 되풀이하거나 부연하는 정도에 불과한 사항’은 실정법상 명확한 근거가 없음에도 설명의무의 대상에서 제외하거나 설명의무를 면제하는 방식으로 설명의무를 부정하고, 그 좁은 관문을 통과한 “중요한 내용”은 문서로 설명해도 무방하며, 실제로 대부분의 사업자는 문서로 설명하고 있다(설명이 필요 없는 경우가 많고, 형식은 완화되어 있다).
    설명의무 규정의 구현 방식은 오늘날의 약관거래 현실을 고려하여 현대적 고객상(像)을 기준으로 재정립할 필요가 있다. 특히 내용이 많고 이해하기 어려워서 약관을 보지 않는 고객에게 구태여 구체적이고 상세하게 설명할 필요는 없다. 실정법상 근거가 없는 위 설명의무 부정 법리는 내용통제 장치인 약관규제법 제6조 제2항 제1호(“고객에게 부당하게 불리한 조항”), 제2호(“고객이 계약의 거래형태 등 관련된 모든 사정에 비추어 예상하기 어려운 조항”)와도 다소 부자연스럽게 공존하고 있다. 학설과 판례가 약관의 유용한 기능을 보전하기 위하여 설명의무를 제한적으로 운용하는 취지는 공감하나, 설명의무의 규범력을 고려하여 그 문언이 품을 수 있는 범위에서 실효적으로 구현하려는 노력도 필요하다. ‘고객이 알고 있는 사항’은 설명의무의 대상에서 제외하고, 나머지 사항들은 설명의무의 형식 및 정도를 완화하는 사정으로 고려하게끔 설명의무 규정의 구현 방식을 재정립하여야 한다.

    About 40 years ago, the Korean legislature enacted the “Act on the Regulation of Terms and Conditions” (hereinafter referred to as the “Terms Regulation Act”) to protect Korean citizens from the abuses of business operators using standard terms and conditions. This law imposed a duty on business operators to specify the “(entire) content” of the terms and conditions (duty to specify) and to explain “important content” therein (duty to explain). Between the two, the duty to explain has remained virtually unchanged since the enactment of the Terms Regulation Act, giving the impression of a strong legislative consensus. However, as this is a powerful control of incorporation—unprecedented in comparative law—its normative force continues to be debated in academic circles.
    Against this background, an examination of the normative force of the duty to explain both in the text of the law and in practice reveals a considerable gap. The “important content” that must be explained, according to the text, is an ambiguous concept, while the form of “explanation” is a clear concept meaning verbal explanation. Furthermore, the duty to explain can only be exempted for reasons related to the nature of the contract: the scope is open, the form is strict, and exemption is not easy. However, the duty to explain, as developed through academic theories and case law in Korea, has been interpreted to exclude from its scope—or to exempt the duty altogether—matters that the customer “(already) (sufficiently) (well) knows or that are general and common in transactions such that the customer could reasonably expect them without separate explanation, or for matters that merely repeat or elaborate on what is already stipulated by law,” despite there being no clear statutory basis for such exclusion(or exemption). As for the “important content” that manages to pass through this narrow threshold, it is considered sufficient to provide explanations in writing, and in practice, most business operators do provide explanations in written form: often, no explanation is deemed necessary, and the formal requirements are lenient.
    The regulations on the duty to explain should be reestablished based on a modern understanding of customers, taking into account the realities of transactions involving standard terms. In particular, there is no need to provide concrete and detailed explanations to customers who do not read the terms because they are lengthy and difficult to understand. The grounds for exemption, which lack statutory basis, coexist somewhat awkwardly with Article 6(2)(1) (“terms unfairly disadvantageous to the customer”) and (2) (“terms that are difficult for the customer to anticipate in light of the nature of the transaction, etc.”) of the Terms Regulation Act, which function as content control. While the restrictive application of the duty to explain by doctrine and case law to preserve the useful function of standard terms is understandable, efforts should also be made to implement the duty effectively within the scope allowed by the text, considering its normative force. Matters “known to the customer” should be excluded from the scope of the duty to explain, while for other matters, the form and degree of explanation should be adjusted. The implementation of the duty to explain should be reestablished accordingly.
