대학기술의 사업화 방안 = 대학기술지주회사제도를 중심으로

국문 초록 (Abstract)

대학기술지주회사제도 도입을 통해 대학의 기술사업화의 영역이 라이센스를 통한 간접사업화에서 직접사업화를 통한 일반적인 비즈니스 영역으로 확대됨에 따라 향후 대학의 국가경제활동에 보다 긍정적인 역할을 수행할 수 있게 되었다. 대학기술지주회사는 산학협력단이 보유한 기술을 공인기관의 가치 평가를 통해 기술을 현물출자하여 기술지주회사를 설립하고, 기술지주회사는 다시 그 기술을 자회사에 출자하여 실질적인 영리사업을 추진하게 된다. 이 과정에서 산학협력단에서는 출자행위와 함께 기술의 소유권을 기술지주회사와 자회사에 소유권을 이전해야 한다. 이러한 소유권 이전의 행위가 특허법상 자기실시로 간주될 수 있을 것인지 논란이 될 수 있으며, 산학협력단은 비영리특수법인으로서 영리활동이 법제도적으로 제한되어 온 점을 감안할 때, 산학협력단을 통한 기술지주회사와 자회사의 실시행위는 동일기관의 실시로 간주하고 특허법상실시행위를 해석함에 있어서 산학협력단의 자기실시로 인정해 주는 것이 타당할 것이다. 또한, 대학의 연구활동은 직간접적으로 외부기관과 연계되어 이루어지는 점을 감안할 때 개량발명이나 공동소유 발명에 대한 실시를 위해 재정실시권과 통상실시권허여 심판의 신청요건을 완화할 필요성을 제기하고 있다.

다국어 초록 (Multilingual Abstract)

It was introduced to the university technology holding company system in korea, 2008. This means that the areas of technology commercialization in a university enlarge indirect area(licensing activities) to a direct business area. This system is expected that it contributes to revitalize the nation economy activity positively.
The university technology holding company should be established to do investment in kind it(technology) after evaluating university’s technologies. Afterall, The university technology holding company should establish it’s son company through second investment in kind as many as evaluation. In this process, Ownership of the invested technology transfers a university to a university technology holding company and it’s son company. Transfering of patent ownership is a juristic action in the patent law system. This doing has argumentative issues about the university technology holding company’s working of an patent.
The university is nonprofit corporation, it have been restricted to profit activity legally in korea. The university is allowed for profit activity through a business of the university technology holding company and it’s son company.
Therefore, it’ll need to consider that the university technology holding company’s working of an patent(university’s technology) is equal to the university’s working. This issue could be called in question for translating in the korea patent law about shop right, working for co-invention, enforceable license by law. It needs to research about the issues continually, for succession of the university technology holding company.
